All payments shall be made in Colombian Pesos (COP) via bank transfer to the Civil Engineer's designated account at Banco de Bogotá, Medellín branch. Payment schedule is as follows: 30% advance upon execution of this Purchase Order; 40% upon completion of structural design and geotechnical deliverables (Item 01 through 04); and 30% upon final certification and as-built documentation delivery (Item 06). Invoices must be issued in compliance with the Colombian electronic invoicing regulations (DIAN) and must reference this Purchase Order number PO-MDE-2025-0047. A 4% withholding tax (retención en la fuente) shall be applied per Colombian tax law (Estatuto Tributario, Art. 382).
- This Purchase Order constitutes a binding agreement between Constructora Andina del Occidente S.A.S. and the named Civil Engineer for the provision of professional engineering services exclusively within the city of Medellín, Antioquia, Colombia, and its metropolitan area.
- The Civil Engineer warrants that all deliverables shall comply with the Colombian National Seismic Design Code (NSR-10), the Colombian Technical Construction Code (CCTC), and all applicable municipal regulations of Medellín.
- The Civil Engineer shall maintain valid professional liability insurance (póliza de responsabilidad civil profesional) with a minimum coverage of COP 500,000,000 throughout the duration of this Purchase Order.
- All site visits, inspections, and regulatory meetings shall be conducted within the administrative jurisdiction of Medellín, Antioquia. Travel expenses within the city limits are included in the unit prices stated herein.
- The Civil Engineer shall not subcontract any portion of the structural design or geotechnical analysis without prior written authorization from the Purchasing Entity.
- Any change in scope exceeding 10% of the total contract value shall require a formal amendment to this Purchase Order, signed by both parties.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Medellín, Antioquia, Colombia, in accordance with the rules of the Cámara de Comercio de Medellín.
- This Purchase Order is governed by the civil and commercial laws of the Republic of Colombia. The applicable jurisdiction for any legal proceedings shall be the courts of Medellín, Antioquia.
- The Civil Engineer shall comply with all occupational health and safety regulations (SG-SST) applicable to construction sites in Medellín during all on-site activities.
- Confidentiality: All project data, structural drawings, and geotechnical reports generated under this Purchase Order shall remain the exclusive property of Constructora Andina del Occidente S.A.S. and shall not be disclosed to third parties without written consent.
