1. Scope of Work: The Civil Engineer shall perform all structural, geotechnical, and supervisory services as described in the line items above. All deliverables must comply with the Egyptian Building Code (EBC 2021), the Cairo Governorate Municipal Regulations, and the standards published by the Egyptian Organization for Standardization and Quality (EOS).
2. Licensing and Compliance: The Civil Engineer must maintain a valid professional license issued by the Egyptian Engineers Syndicate (Cairo Branch) throughout the entire contract period. Any lapse in licensure shall constitute grounds for immediate termination of this Purchase Order.
3. Payment Schedule: Payment shall be made in four (4) equal installments of EGP 748,125 each, due within thirty (30) calendar days of the Buyer's written acceptance of each milestone deliverable. Payment shall be processed via bank transfer to the Civil Engineer's designated account at National Bank of Egypt, Cairo branch.
4. Commencement and Timeline: Services shall commence on 1 July 2025. The Civil Engineer shall submit a detailed project schedule within seven (7) days of receiving this Purchase Order. All timelines are subject to approval by the Cairo Governorate Building Inspection Department.
5. Intellectual Property: All design documents, calculations, drawings, and reports produced under this Purchase Order shall become the exclusive property of Nile Delta Infrastructure Development Co. upon full payment. The Civil Engineer retains the right to reference the project in professional portfolios with prior written consent.
6. Insurance: The Civil Engineer shall maintain professional indemnity insurance with a minimum coverage of EGP 5,000,000, valid throughout the project duration in Egypt Cairo. A certificate of insurance shall be submitted prior to commencement.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Civil Engineer shall be compensated for all services rendered up to the termination date, plus a 10% completion premium on partially completed work items.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to arbitration under the rules of the Egyptian Arbitration Center (EAC) in Cairo. The governing law shall be the laws of the Arab Republic of Egypt.
9. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Egypt Cairo, or acts of war, as defined under Egyptian Civil Law Article 147.
10. Confidentiality: The Civil Engineer agrees to maintain strict confidentiality regarding all project specifications, client information, and proprietary data. This obligation survives the termination of this Purchase Order for a period of five (5) years.
