2. Scope of Work — Civil Engineer Services in France Marseille

This Purchase Order is issued by BTP Méditerranée S.A. to engage the services of a qualified Civil Engineer and associated engineering team for the structural design, geotechnical assessment, and construction supervision of the new mixed-use development project located at 120 Quai de Rive Neuve, 13002 Marseille, France. The Civil Engineer shall be responsible for all structural calculations, foundation design, seismic compliance verification in accordance with the French Eurocode standards (Eurocode 8), and ongoing site supervision throughout the construction phase in the Marseille metropolitan area.

The Civil Engineer shall ensure full compliance with the local urban planning regulations (Plan Local d'Urbanisme) of the City of Marseille, the national building code (Code de la Construction et de l'Habitation), and all applicable environmental directives issued by the Regional Directorate for the Environment, Planning and the Sea (DREAL PACA). All deliverables under this Purchase Order shall be produced in French for submission to the local authorities in France Marseille, with English summaries provided to the Buyer for internal review purposes.

4. Payment Terms

Payment shall be made in Euros (EUR) via bank transfer to the account of the Supplier as specified in the invoice. The Buyer shall settle each invoice within thirty (30) calendar days of receipt. A 10% mobilisation advance shall be paid upon signature of this Purchase Order. The remaining balance shall be released in monthly progress payments based on the Civil Engineer's certified progress reports, with a final 5% retention released upon satisfactory completion and handover of all as-built documentation. Late payments shall incur interest at the rate prescribed by French commercial law (Code de commerce, Article L441-10).

5. Terms and Conditions
  1. This Purchase Order is governed by the laws of the French Republic. Any disputes arising from the interpretation or execution of this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, France.
  2. The Civil Engineer shall maintain professional indemnity insurance with a minimum coverage of 5,000,000 EUR, valid throughout the duration of the contract and for a further ten (10) years following project completion, in compliance with French professional liability requirements.
  3. All work performed under this Purchase Order shall be executed in France Marseille or its immediate metropolitan area. The Civil Engineer shall be physically present in Marseille for a minimum of three (3) working days per week during the construction supervision phase.
  4. The Supplier warrants that the Civil Engineer engaged under this Purchase Order holds a valid registration with the French Order of Civil Engineers (Ordre des Ingénieurs Civils) and possesses a minimum of fifteen (15) years of relevant structural engineering experience in the Mediterranean region.
  5. Force majeure events, including but not limited to natural disasters affecting the Marseille coastline, shall be governed by Article 1218 of the French Civil Code. Neither party shall be liable for delays caused by events beyond their reasonable control.
  6. The Supplier shall comply with all applicable French data protection regulations (RGPD / GDPR) when handling any personal data in connection with this Purchase Order.
  7. This Purchase Order may only be amended or modified by a written addendum signed by both parties. Verbal agreements or informal communications shall not constitute a valid modification of this Purchase Order.
  8. The Civil Engineer shall submit a detailed project schedule within ten (10) business days of the effective date of this Purchase Order, outlining all milestones, deliverable dates, and critical path activities for the France Marseille project.
6. Acceptance and Signatures

By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of Civil Engineer services in France Marseille.
