Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
Professional Standards: The Civil Engineer engaged under this Purchase Order shall perform all services in strict compliance with the German Building Code (BauGB), the Berlin Building Code (BauO Bln), DIN standards, Eurocodes (EN 1990–1999), and the professional obligations defined under the VBI (Verein Berliner Ingenieure) code of conduct.
HOAI Compliance: All fee structures referenced in this Purchase Order are calculated in accordance with the Honorarordnung für Architekten und Ingenieure (HOAI 2013), specifically the Leistungsphasen (service phases) as indicated in the line items above.
Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate pursuant to § 288 BGB.
Insurance & Liability: The Civil Engineer and the supplier shall maintain professional indemnity insurance (Berufshaftpflichtversicherung) with a minimum coverage of EUR 5,000,000 per claim and EUR 10,000,000 in the aggregate. Certificates of insurance shall be provided upon request.
Confidentiality: All project data, site plans, geotechnical reports, and structural calculations delivered under this Purchase Order are classified as confidential. The Civil Engineer shall not disclose any project-specific information to third parties without prior written consent from Berliner Infrastruktur & Bau GmbH.
Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of termination, the Civil Engineer shall be compensated for all services rendered up to the effective date of termination, calculated pro-rata according to the HOAI fee schedule.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Germany Berlin, or pandemics, provided that the affected party notifies the other within five (5) business days.
Subcontracting: The Civil Engineer may not subcontract any portion of the services defined in this Purchase Order without the prior written approval of the Purchasing Entity. Any approved subcontractor shall be bound by the same terms and conditions.
Dispute Resolution: In the event of a dispute, both parties agree to first attempt resolution through mediation before the Schlichtungsstelle der Ingenieurkammer Berlin. Should mediation fail, the matter shall be referred to the competent civil court in Berlin.

By signing below, both parties acknowledge and agree to all terms, conditions, and line items specified in this Purchase Order. The Civil Engineer services described herein shall commence no earlier than 1 July 2025 and are expected to be completed by 31 October 2026, subject to the construction timeline approved by the Berliner Bauaufsichtsbehörde.
