5. Terms and Conditions- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order relating to the Civil Engineer's services in Germany Frankfurt shall be subject to the exclusive jurisdiction of the Local Court (Amtsgericht) Frankfurt am Main.
- Commencement and Duration: The Civil Engineer shall commence services no later than 1 August 2025. The total project duration is estimated at 18 months, subject to milestone approvals by the buyer's project management office in Germany Frankfurt.
- Payment Terms: Payment shall be made within 30 calendar days of receipt of a valid invoice from the Civil Engineer's firm. Invoices must reference this Purchase Order number (PO-2025-FRA-04872) and include the supplier's VAT identification number. Payment shall be executed via SEPA bank transfer to the account specified by Hessen Civil Engineering & Consulting AG.
- Professional Liability and Insurance: The Civil Engineer shall maintain professional indemnity insurance (Berufshaftpflichtversicherung) with a minimum coverage of € 5,000,000 per claim and € 10,000,000 in the aggregate, valid throughout the duration of services in Germany Frankfurt. A certificate of insurance shall be provided prior to commencement.
- Compliance with German Standards: All engineering deliverables produced by the Civil Engineer must conform to the applicable DIN, EN, and VOB (Vergabe- und Vertragsordnung für Bauleistungen) standards. The Civil Engineer is responsible for ensuring that all structural calculations, material specifications, and design documents meet the regulatory requirements of the State of Hesse and the city of Frankfurt am Main.
- Confidentiality: The Civil Engineer and all associated personnel shall treat all project data, site plans, and proprietary information of Rhein-Main Infrastructure Development GmbH as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five years.
- Termination: Either party may terminate this Purchase Order with a written notice period of 60 days. In the event of termination, the Civil Engineer shall be compensated for all services rendered up to the effective date of termination, plus reasonable demobilisation costs incurred in Germany Frankfurt.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters affecting the Germany Frankfurt region, government-mandated work stoppages, or pandemics, provided that the affected party notifies the other within 5 business days.
- Subcontracting: The Civil Engineer shall not subcontract any portion of the structural design or on-site supervision services without prior written consent from the buyer. Any approved subcontractors must hold equivalent professional qualifications registered with the Hessen Ingenieurkammer.
- Health and Safety: The Civil Engineer shall ensure full compliance with the German Occupational Safety and Health Act (Arbeitsschutzgesetz) and all site-specific safety plans for work conducted in Germany Frankfurt. A designated safety officer shall accompany the Civil Engineer during all on-site inspections.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the engagement of the Civil Engineer for the specified infrastructure project in Germany Frankfurt.
