- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ghana, specifically the Ghana Building and Construction Industry Act (Act 872) and the Public Procurement Act (Act 663, as amended by Act 914).
- Professional Qualification: The Civil Engineer engaged under this Purchase Order must hold a valid professional license issued by the Ghana Engineering Council (GEC) and must be a registered member of the Institution of Engineers, Ghana (IEG). Proof of licensure shall be submitted prior to commencement of work in Ghana Accra.
- Commencement and Duration: Services shall commence on 1 July 2025 and are expected to be completed within 18 months. The Civil Engineer shall report to the project site in Accra, Ghana no later than 08:00 hours on the first working day of each month.
- Payment Schedule: Payment shall be made in four (4) equal installments of GHS 500,393.75 each, due within 30 days of the following milestones: (a) submission of design documentation; (b) completion of geotechnical investigation; (c) 9-month on-site supervision checkpoint; and (d) final project certification and handover in Ghana Accra.
- Insurance and Liability: The supplier shall maintain professional indemnity insurance of not less than GHS 5,000,000.00 and public liability insurance of not less than GHS 3,000,000.00 for the duration of the Civil Engineer's engagement on this project in Ghana Accra.
- Intellectual Property: All engineering drawings, calculations, reports, and documentation produced by the Civil Engineer under this Purchase Order shall become the exclusive property of Accra Infrastructure Development Authority upon full payment.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Civil Engineer shall be compensated for all services rendered up to the date of termination, subject to a final audit by the Buyer's finance department in Accra, Ghana.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation under the Ghana Mediation Centre. If unresolved within 30 days, the matter shall be referred to arbitration in Accra, Ghana, in accordance with the Arbitration Act, 1968 (Act 29).
- Compliance: The Civil Engineer and all sub-consultants shall comply with all applicable regulations of the Accra Metropolitan Assembly, the Ghana Standards Authority, and the Ministry of Works and Housing of Ghana.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government policy changes in Ghana, or civil unrest affecting the Accra metropolitan area.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work outlined in this Purchase Order for the engagement of Civil Engineer services in Ghana Accra. This document constitutes a binding agreement between the parties upon execution.
