- This Purchase Order constitutes a binding agreement between Meridian Infrastructure Solutions Pvt. Ltd. (hereinafter "Buyer") and Sri Venkatesh Civil Engineering & Consultancy Services (hereinafter "Supplier / Civil Engineer Contractor") for the execution of civil engineering works at the designated site in India Bangalore.
- The Civil Engineer shall hold a valid Certificate of Practice issued by the Council of Architecture (COA), Government of India, and shall maintain professional indemnity insurance of not less than INR 50,00,000 throughout the project duration.
- All structural designs, calculations, and engineering drawings shall comply with the Indian Standard codes (IS 456, IS 875, IS 1893, IS 13920) and the local building bylaws of the Bruhat Bengaluru Mahanagara Palike (BBMP), India Bangalore.
- Payment shall be made in the following milestones: 25% advance upon acceptance of this Purchase Order; 40% upon completion of foundation and ground-floor slab; 25% upon structural completion (top of G+3); 10% upon final handover and issuance of the completion certificate by the Civil Engineer.
- The Civil Engineer shall submit weekly progress reports to the Buyer's project manager at the India Bangalore site office every Friday by 17:00 IST.
- Any variation in scope exceeding 10% of the original Purchase Order value shall require a written variation order signed by both parties before execution.
- The Supplier / Civil Engineer shall ensure that all materials procured under this Purchase Order meet the specifications approved by the Buyer and comply with BIS (Bureau of Indian Standards) requirements applicable in India Bangalore.
- Disputes arising from this Purchase Order shall be resolved through arbitration in India Bangalore in accordance with the Arbitration and Conciliation Act, 1996, and the seat of arbitration shall be Bangalore, Karnataka, India.
- This Purchase Order is governed by the laws of India. The jurisdiction of courts in India Bangalore, Karnataka shall be exclusive for any legal proceedings.
- The Civil Engineer shall not subcontract any portion of the professional engineering services without prior written consent from the Buyer. Material supply subcontracts are permitted provided the Civil Engineer remains liable for quality and delivery.
All materials and services under this Purchase Order shall be delivered to the project site at HSR Layout, Sector 2, India Bangalore – 560102. The Civil Engineer shall coordinate with the Buyer's site representative for scheduled deliveries. Acceptance of materials shall be confirmed within 48 hours of delivery. Any defective or non-conforming items shall be replaced at the Supplier's cost within 7 working days.
