- This Purchase Order constitutes a binding agreement between the Issuing Party and the Civil Engineer upon written acceptance. All services shall be rendered exclusively at the project site in Worli, India Mumbai, unless otherwise authorized in writing.
- The Civil Engineer shall maintain a valid and active registration with the Institution of Engineers (India) – I.E. (India), Mumbai Chapter, and shall produce the original license for verification at the commencement of work.
- All structural calculations, design drawings, and engineering reports prepared by the Civil Engineer shall be submitted in both hard copy (3 sets) and soft copy (PDF and editable CAD/BIM format) to the project office in India Mumbai within 7 working days of completion of each milestone.
- Payment shall be processed via NEFT/RTGS to the bank account designated by the Civil Engineer. Invoices must reference this Purchase Order number (PO/CE/MUM/2025/0047) and shall be submitted on the 25th of each calendar month for services rendered in the preceding month.
- The Civil Engineer shall indemnify and hold harmless Shree Vardhman Infrastructure Pvt. Ltd. against any claims, losses, or liabilities arising from professional negligence, design errors, or non-compliance with Indian building codes and India Mumbai municipal regulations.
- Any variation in scope, additional services, or extension of the Civil Engineer's engagement beyond the stipulated duration shall require a formal amendment to this Purchase Order, signed by both parties.
- This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in India Mumbai, Maharashtra.
- The Civil Engineer shall comply with all health, safety, and environmental (HSE) protocols as mandated by the Maharashtra Industrial Safety Act and the project-specific safety plan for the India Mumbai site.
- Confidentiality: All project data, architectural drawings, and proprietary information shared with the Civil Engineer shall remain the exclusive property of the Issuing Party and shall not be disclosed to any third party without prior written consent.
- This Purchase Order is valid for acceptance within 30 days of the issue date. Failure to accept within this period shall render this document null and void.
