- This Purchase Order is governed by the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Jerusalem, Israel.
- The Civil Engineer shall hold a valid license issued by the Israeli Engineers Association (IIE) and shall maintain professional liability insurance with a minimum coverage of ILS 5,000,000 for the duration of the engagement.
- All deliverables, including structural drawings, geotechnical reports, and hydraulic models, shall be submitted in both Hebrew and English to the Jerusalem Municipal Engineering Department within the timelines specified in the attached Statement of Work.
- Payment shall be made in Israeli New Shekels (ILS) via bank transfer to the vendor's designated account in Israel. Invoices must reference this Purchase Order number (PO-JER-2025-04871) for processing.
- The Civil Engineer shall comply with all applicable Israeli environmental regulations, including those enforced by the Israel Nature and Parks Authority, particularly in the vicinity of the Old City of Jerusalem and protected heritage zones.
- Any change in scope, additional services, or modifications to the original design shall require a written amendment to this Purchase Order signed by both parties before execution.
- The vendor shall not subcontract any portion of the Civil Engineer services without prior written approval from the Municipality of Jerusalem's Procurement Department.
- Confidentiality: All data, site plans, and municipal records provided to the Civil Engineer in connection with this Purchase Order shall be treated as confidential and shall not be disclosed to third parties without written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the vendor shall be compensated for all services rendered up to the termination date.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest in the Jerusalem area.
