Note: All services described in this Purchase Order shall be performed by the designated Civil Engineer, Ing. This Purchase Order is issued by Lombardy Infrastructure Development S.r.l. to engage the services of a qualified Civil Engineer registered with the Ordine degli Ingegneri di Milano for the design, supervision, and technical coordination of a residential and commercial mixed-use development project located in the Sesto San Giovanni district of Milan, Italy. The Civil Engineer shall be responsible for all structural design calculations, geotechnical assessment review, building code compliance verification under Italian Legislative Decree D.Lgs. 81/2008, and on-site construction supervision throughout the duration of the project.

- Payment Terms: Payment shall be made in four (4) equal instalments of EUR 40,854.75 (VAT inclusive), due at the following milestones: (a) 25% upon execution of this Purchase Order and commencement of structural design; (b) 25% upon completion and approval of all structural drawings; (c) 25% upon completion of on-site supervision for the superstructure phase; (d) 25% upon final certification and submission of as-built documentation to the Milan municipal authority.
- Payment Method: All payments shall be made via SEPA bank transfer to the account designated by the Civil Engineer. Payment is due within thirty (30) calendar days of receipt of a valid invoice (fattura elettronica) issued in accordance with Italian electronic invoicing requirements (SdI — Sistema di Interscambio).
- Performance Bond: The Civil Engineer shall provide a performance bond in the amount of 10% of the total contract value (EUR 16,341.90) in the form of a bank guarantee issued by a bank operating in Italy, valid for the duration of the project plus sixty (60) days.
- Insurance: The Civil Engineer shall maintain professional indemnity insurance (RC Professionale) with a minimum coverage of EUR 1,000,000 per claim and EUR 2,000,000 in the aggregate, issued by an insurer authorised to operate in Italy. A certificate of insurance shall be provided prior to commencement of services.
- Intellectual Property: All design documents, calculations, drawings, and reports produced by the Civil Engineer under this Purchase Order shall become the exclusive property of Lombardy Infrastructure Development S.r.l. upon full payment. The Civil Engineer retains the right to reference the project in a professional portfolio with prior written consent.
- Confidentiality: The Civil Engineer shall treat all project information, site data, and commercial details as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience by the Buyer, the Civil Engineer shall be compensated for all services rendered up to the date of termination, plus a reasonable demobilisation fee not exceeding 5% of the remaining contract value.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved by the competent courts of Milan, Italy (Tribunale di Milano), in accordance with Italian law. The parties agree to attempt mediation through the Camera di Commercio di Milano before initiating any judicial proceedings.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from force majeure events, including but not limited to natural disasters, epidemics, government actions, or civil unrest affecting the Milan metropolitan area, Italy.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. All notices shall be sent to the addresses stated above.
