- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic, specifically the Italian Civil Code (Codice Civile) and the provisions applicable to professional services contracts in the region of Lazio, Rome.
- Professional Qualification: The Civil Engineer assigned to this Purchase Order must hold a valid registration with the Ordine degli Ingegneri di Roma (Order of Engineers of Rome) and possess a minimum of fifteen (15) years of documented experience in structural and civil engineering projects within the metropolitan area of Rome, Italy.
- Payment Terms: Payment shall be made within sixty (60) days from the date of invoice receipt via bank transfer to the supplier's designated account in Rome, Italy. Invoices must reference this Purchase Order number (IT-RM-CE-2025-04782) and include the supplier's Italian VAT code (P.IVA).

- Insurance: The supplier shall maintain professional liability insurance (RC Professionale) with a minimum coverage of EUR 2,000,000 per occurrence, valid throughout the territory of Italy, with Rome as the primary operational base.
- Confidentiality: All technical data, site plans, and structural calculations produced under this Purchase Order for the Rome project shall be treated as confidential and shall not be disclosed to third parties without written consent from Roma Infrastrutture S.p.A.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Civil Engineer shall be compensated for all services rendered up to the termination date, as documented in the site supervision logs maintained in Rome.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved by the competent courts of Rome, Italy, or by arbitration before the Camera di Commercio di Roma, in accordance with Italian procedural law.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to seismic events affecting the Rome area, government-mandated site closures, or extraordinary weather conditions in central Italy.
