1. Purpose and Scope of This Purchase Order

3. Terms and Conditions
- 3.1 This Purchase Order shall be governed by and construed in accordance with the laws of the State of Japan, specifically the Japan Kyoto municipal procurement regulations and the Public Contracts Act (Act No. 85 of 1999).
- 3.2 The Civil Engineer designated under this Purchase Order shall submit weekly progress reports to the Authority's Project Management Office located at 2-1-1 Maruyama, Higashiyama-ku, Japan Kyoto, no later than 17:00 JST every Friday.
- 3.3 All structural designs and engineering calculations must comply with the Japan Building Standards Act, the Japan Kyoto City Seismic Design Guidelines (2024 revision), and the JICE professional code of conduct.
- 3.4 Payment shall be made in three (3) equal installments: 30% upon execution of this Purchase Order, 40% upon completion of the geotechnical and hydraulic design phase, and 30% upon final acceptance and commissioning of all civil works in Japan Kyoto.
- 3.5 The vendor shall maintain comprehensive professional liability insurance with a minimum coverage of JPY 500,000,000 for the entire duration of the Civil Engineer's engagement under this Purchase Order.
- 3.6 Any change in scope, additional borehole investigations, or revised structural requirements for the Japan Kyoto project site must be documented in a formal Change Order signed by both parties before execution.
- 3.7 The Civil Engineer shall ensure that all on-site activities comply with the Japan Kyoto City Noise and Vibration Control Ordinance, particularly during the construction period adjacent to the historic Higashiyama cultural heritage zone.
- 3.8 Disputes arising from this Purchase Order shall be resolved through mediation at the Japan Kyoto Arbitration Center before any litigation is commenced in the Kyoto District Court.
4. Delivery and Site Access
All materials, equipment, and personnel associated with this Purchase Order shall be delivered to the designated project site at the Kamo River embankment, Nakagyo-ku, Japan Kyoto. The Civil Engineer and all subcontracted survey teams must obtain a valid site access permit from the Authority's Safety and Compliance Division prior to commencing any on-site activity. Working hours on the Japan Kyoto project site are restricted to 07:00–19:00 JST, Monday through Saturday, in accordance with local municipal bylaws.
5. Acceptance and Signatures
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Civil Engineer services and associated materials for the infrastructure project in Japan Kyoto.
