- Scope and Standards: The Civil Engineer shall perform all duties in strict compliance with the Kazakhstan national standards (GOST and SNiP), the Almaty city zoning regulations, and the specific project specifications. Any deviation from the approved design shall require written amendment to this Purchase Order.
- Payment Schedule: Payment shall be made in monthly installments within 30 calendar days of receipt of an approved invoice. The first payment of 15% (KZT 18,429,600) shall be due upon execution of this Purchase Order. Subsequent payments shall be released upon milestone completion certified by the project manager.
- Performance Bond: The Civil Engineer shall provide a performance bond equivalent to 10% of the total contract value, issued by a licensed bank operating in Kazakhstan, to be held by the Buyer for the duration of the project plus 12 months.
- Insurance: The Civil Engineer shall maintain professional liability insurance with a minimum coverage of KZT 50,000,000, valid throughout the project period in Kazakhstan Almaty.
- Intellectual Property: All design documents, calculations, reports, and drawings produced under this Purchase Order shall become the exclusive property of Almaty Infrastructure Development JSC upon full payment.
- Termination: Either party may terminate this Purchase Order with 60 days written notice. In the event of termination for convenience, the Civil Engineer shall be compensated for all work completed and documented up to the termination date.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to mediation in Kazakhstan Almaty. If unresolved within 30 days, the matter shall be referred to the Arbitration Court of Almaty City, Republic of Kazakhstan.
- Compliance: The Civil Engineer warrants that all services shall comply with the anti-corruption legislation of the Republic of Kazakhstan and the labor regulations applicable in Kazakhstan Almaty.
