The Civil Engineer shall hold a valid professional license issued by the Kuwait Ministry of Public Works (KMO) and shall possess a minimum of fifteen (15) years of documented experience in structural and geotechnical engineering within the Gulf Cooperation Council (GCC) region.

Payment under this Purchase Order shall be made in Kuwaiti Dinar (KWD) via bank transfer to the Supplier's designated account at National Bank of Kuwait, Mishref Branch, Kuwait Kuwait City. The payment schedule is as follows:

• Advance Payment (30%): KWD 42,241.500 — Due within ten (10) business days of the Supplier's written acceptance of this Purchase Order and submission of a performance bond equivalent to 10% of the total contract value.
• Progress Payments (Monthly): KWD 3,200.000 per month — Payable within fifteen (15) business days following the end of each calendar month, subject to the Purchaser's written approval of the Civil Engineer's monthly progress report.
• Completion Payment (35%): KWD 49,281.750 — Due within thirty (30) days of the Civil Engineer's final handover certification and KMO sign-off.
• Retention (5%): KWD 7,040.250 — Released twelve (12) months after the completion date, provided no defects or non-conformities are identified during the warranty period.

1. This Purchase Order is governed by and shall be construed in accordance with the laws of the State of Kuwait, including the Kuwait Civil Code, the Kuwait Commercial Law, and the Kuwait Building Code (KBC-2024).
2. The Civil Engineer engaged under this Purchase Order shall comply with all applicable regulations of the Kuwait Ministry of Public Works, the Kuwait Fire and Civil Defense, and the Kuwait Environment Public Authority.
3. The Supplier shall ensure that the Civil Engineer maintains valid professional indemnity insurance with a minimum coverage of KWD 500,000 for the entire duration of the engagement in Kuwait Kuwait City.
4. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kuwait City in accordance with the Kuwait Arbitration Law No. 15 of 2001. The language of arbitration shall be English.
5. The Supplier shall not subcontract any portion of the Civil Engineer's responsibilities without prior written consent from the Purchaser.
6. All deliverables, drawings, reports, and intellectual property produced by the Civil Engineer under this Purchase Order shall become the sole property of the Purchaser upon full payment.
7. Force majeure events, including but not limited to extreme weather conditions common to Kuwait Kuwait City, shall extend the project timeline on a day-for-day basis, provided the affected party notifies the other in writing within forty-eight (48) hours.
8. This Purchase Order shall remain valid until 15 September 2025. If not accepted and signed by the Supplier within this period, the Purchaser reserves the right to cancel this Purchase Order without liability.
