- This Purchase Order is issued by Meridian Infrastructure Development Sdn. Bhd. and constitutes a binding agreement for the engagement of the named Civil Engineer for the specified project located in Malaysia Kuala Lumpur. All services shall be performed in accordance with the Malaysian Civil Engineering Code of Practice and the standards set by the Board of Engineers Malaysia (BEM).
- The Civil Engineer shall maintain a valid professional registration with the Board of Engineers Malaysia throughout the duration of this Purchase Order. Any lapse in registration shall constitute a material breach of this Purchase Order and may result in immediate termination.
- All deliverables, including but not limited to structural drawings, geotechnical reports, drainage plans, and supervision logs, shall be submitted in both hard copy and digital format (PDF and AutoCAD DWG) to the Purchaser's project office in Malaysia Kuala Lumpur within the timelines specified in the line items above.
- Payment shall be made within thirty (30) calendar days from the date of a valid invoice submitted by the Civil Engineer. Late payments shall attract interest at the rate of 5% per annum as stipulated under the Malaysian Contracts Act 1950.
- The Civil Engineer shall comply with all applicable Malaysian laws, including the Occupational Safety and Health Act 1994 (OSHA), the Environmental Quality Act 1974, and all local by-laws of the Kuala Lumpur City Hall (DBKL) governing construction activities in Malaysia Kuala Lumpur.
- This Purchase Order does not constitute a guarantee of employment. The Civil Engineer is engaged as an independent professional consultant. No employer-employee relationship is created by this Purchase Order.
- Any amendments, variations, or additional scope of work beyond the items listed in this Purchase Order must be agreed upon in writing by both parties prior to execution. Verbal instructions shall not be binding.
- The Civil Engineer shall carry professional indemnity insurance with a minimum coverage of MYR 2,000,000 per occurrence, valid for the entire project duration in Malaysia Kuala Lumpur. A certificate of insurance shall be provided to the Purchaser before commencement of work.
- Disputes arising from this Purchase Order shall be resolved through mediation under the rules of the Asian International Arbitration Centre (AIAC) in Malaysia Kuala Lumpur. The governing law of this Purchase Order shall be the laws of Malaysia.
- This Purchase Order is valid for acceptance within thirty (30) days from the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
