This Purchase Order is issued by Constructora del Valle, S.A. de C.V. to formally engage the services of a licensed Civil Engineer for the design, supervision, and technical oversight of the "Torre Empresarial Reforma" construction project located in the Cuauhtémoc borough of Mexico, Mexico City. The Civil Engineer shall be responsible for all structural calculations, geotechnical analysis, hydraulic system design, and compliance verification in accordance with the current Mexican Construction Norms (NOM-001-CONACYT, NOM-002-ENER, and applicable CDMX municipal regulations).
The Civil Engineer shall provide full-time on-site supervision at the project location in Mexico, Mexico City, Monday through Friday, from 08:00 to 17:00 hours, with additional availability for emergency structural assessments as required by the project timeline. All deliverables must comply with the technical standards established by the Secretaría de Desarrollo Urbano y Obra Pública of Mexico City.

- Payment shall be made in Mexican Pesos (MXN) via bank transfer to the account designated by the Civil Engineer service provider.
- 30% advance payment upon execution of this Purchase Order and submission of the initial project schedule.
- 40% progress payment upon completion of structural design and geotechnical deliverables, subject to buyer's technical approval.
- 20% payment upon completion of on-site supervision phase (months 12 through 18).
- 10% final payment upon delivery of as-built documentation and final technical report, no later than 30 days after project completion.
- All invoices must include the corresponding CFDI (Comprobante Fiscal Digital por Internet) as required by the Servicio de Administración Tributaria (SAT) of Mexico.
- Payment terms: Net 30 days from date of invoice receipt and approval.
- This Purchase Order is governed by the Commercial Code of Mexico and applicable federal and state legislation of Mexico, Mexico City.
- The Civil Engineer shall maintain valid professional liability insurance with a minimum coverage of MXN 10,000,000.00 throughout the duration of the engagement.
- The Civil Engineer shall comply with all occupational health and safety regulations (NOM-010-STPS) applicable to construction sites in Mexico, Mexico City.
- Any modification to the scope of work must be documented in a written addendum to this Purchase Order, signed by both parties.
- The Civil Engineer shall not subcontract any portion of the structural design work without prior written consent from the buyer.
- Confidentiality: All project data, site plans, and technical information shared under this Purchase Order shall be treated as proprietary and shall not be disclosed to third parties.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Mexico, Mexico City, in accordance with the rules of the Cámara de Comercio de la Ciudad de México.
- The Civil Engineer shall submit weekly progress reports every Friday by 17:00 hours to the project manager at the buyer's office in Mexico, Mexico City.
- Force majeure events, including but not limited to seismic activity exceeding 6.0 magnitude in the Mexico City metropolitan area, shall suspend contractual obligations for a period not exceeding 60 calendar days.
