Terms and Conditions of this Purchase Order
- This Purchase Order constitutes a binding agreement between Amsterdam Infrastructure Development B.V. and the named Civil Engineer for the provision of professional engineering services in Netherlands Amsterdam. Acceptance of this Purchase Order by signature below confirms full agreement to all terms herein.
- The Civil Engineer shall maintain valid professional indemnity insurance with a minimum coverage of EUR 5,000,000 per claim, as mandated by the Dutch Society of Civil Engineers (SIA) and the professional liability requirements applicable in Netherlands Amsterdam.
- All engineering deliverables shall comply with the Dutch Building Act (Bouwbesluit 2012), the Amsterdam Municipal Building Ordinance, and applicable NEN standards. The Civil Engineer warrants that all calculations, designs, and reports are performed in accordance with the professional code of conduct established by the SIA.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice issued by the Civil Engineer. Invoices must reference this Purchase Order number (PO-2025-AMST-CE-0472) and include the supplier's VAT (BTW) registration number.
- The Civil Engineer shall commence all services no later than 01 July 2025 at the designated project site in Netherlands Amsterdam. Any delay in commencement must be communicated in writing to the Buyer at least five (5) business days in advance.
- All intellectual property rights in the engineering designs, calculations, and reports produced under this Purchase Order shall vest in Amsterdam Infrastructure Development B.V. upon full payment. The Civil Engineer retains the right to reference the project in professional portfolios subject to a 12-month confidentiality period.
- Disputes arising from this Purchase Order shall be resolved in accordance with Dutch law and shall be subject to the exclusive jurisdiction of the District Court of Amsterdam (Rechtbank Amsterdam), Netherlands Amsterdam.
- The Civil Engineer shall comply with all applicable Dutch labour, environmental, and safety regulations when conducting on-site activities in Netherlands Amsterdam, including the Arbo Act (Occupational Health and Safety Act) and the Environmental Management Act (Omgevingswet).
- This Purchase Order may be amended only by mutual written agreement signed by both parties. No verbal modifications shall be binding.
- The Civil Engineer shall not subcontract any portion of the engineering services without prior written consent from the Buyer. Any approved subcontractor must hold equivalent SIA registration and professional qualifications.
