1. This Purchase Order is governed by the laws of New Zealand and shall be interpreted in accordance with the Contract and Commercial Law Act 2017 and the Consumer Guarantees Act 1993 where applicable.
2. The Civil Engineer shall hold a valid RPEng registration with Engineering New Zealand throughout the entire duration of the engagement and shall maintain professional indemnity insurance with a minimum cover of NZD 5,000,000 per occurrence.
3. All work performed under this Purchase Order shall comply with the New Zealand Building Code (NZBC), the Auckland Unitary Plan (Operative 2016, as amended), and all relevant standards published by Standards New Zealand (NZS).
4. The Civil Engineer shall submit all design documentation, calculations, and compliance statements to Harbour Infrastructure Group Ltd for review no less than ten (10) business days prior to the scheduled construction commencement date.
5. Payment shall be made via electronic funds transfer (EFT) to the bank account nominated by the Civil Engineer within thirty (30) calendar days of receipt of a valid tax invoice, in accordance with the Payment of Debts Act 2010.
6. The Civil Engineer shall adhere to all health and safety obligations under the Health and Safety at Work Act 2015 and shall maintain a valid WorkSafe NZ registration for the project site in New Zealand Auckland.
7. Any variation to the scope of work described in this Purchase Order must be agreed in writing by both parties prior to commencement of the varied work. Variations exceeding 10% of the total Purchase Order value require a formal amendment to this document.
8. The Civil Engineer shall not subcontract any portion of the professional engineering services without prior written consent from Harbour Infrastructure Group Ltd. Any approved subcontractor shall be bound by the same terms and conditions set forth in this Purchase Order.
9. Intellectual property rights in all design documents, calculations, and reports produced under this Purchase Order shall vest in Harbour Infrastructure Group Ltd upon full payment of the Purchase Order value.
10. Disputes arising from this Purchase Order shall be resolved in accordance with the Disputes Standards of the New Zealand Disputes Standards and, failing resolution, shall be subject to the jurisdiction of the District Court of Auckland, New Zealand.
11. This Purchase Order does not constitute a guarantee of employment or a permanent engagement. The relationship between the parties is strictly that of principal and independent contractor.
