This Purchase Order is issued by Constructora Andina del Pacífico S.A.C. to engage the services of Ing. - Professional Qualification: The Civil Engineer shall maintain an active professional license (CIP) throughout the duration of this Purchase Order. Any lapse in registration with the Colegio de Ingenieros del Perú shall constitute grounds for immediate termination by the Purchasing Entity.
- Compliance with Peruvian Regulations: All civil engineering deliverables shall comply with the Norma Técnica de Edificaciones (NTE) issued by the Ministerio de Vivienda, Construcción y Saneamiento of Peru, as well as all applicable municipal ordinances of the Municipalidad Provincial de Lima and the specific district of La Victoria.
- Seismic Design Requirements: Given the high seismic risk of the Lima metropolitan area (Zone 4 per NTE E.030), all structural designs shall incorporate the maximum seismic parameters established for the coastal region of Peru, including the specific soil amplification factors for the Lima basin.
- Payment Schedule: Payments shall be made in five (5) equal installments of S/ 91,922.00 (including IGV), due at the following milestones: (a) upon approval of structural design; (b) upon completion of foundation design; (c) upon completion of months 1-2 of on-site supervision; (d) upon completion of months 3-4 of on-site supervision; and (e) upon delivery of final as-built documentation and municipal approval in Lima.
- Confidentiality: The Civil Engineer agrees to maintain strict confidentiality regarding all project data, structural calculations, and proprietary information of Constructora Andina del Pacífico S.A.C. in accordance with Peruvian data protection law (Ley N° 29733).
- Insurance and Liability: The Civil Engineer shall maintain professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of S/ 500,000.00, valid throughout the project duration in Lima, Peru.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through binding arbitration in Lima, Peru, in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Lima (CAC-CCL).
- Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes, which are common in the Lima region), government decrees, or other events beyond reasonable control, as defined under Peruvian civil law.
- Validity: This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. Failure to accept within this period shall render this document null and void.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the provision of Civil Engineering services in Lima, Peru. This document constitutes a binding agreement under the laws of the Republic of Peru.
