This Purchase Order is issued by Metro Manila Infrastructure Development Corporation (hereinafter referred to as the "Buyer") to Dela Cruz Civil Engineering & Structural Consulting, Inc., represented by its principal Civil Engineer, Engr. Ricardo A. Dela Cruz (hereinafter referred to as the "Vendor"), for the provision of professional Civil Engineer services in connection with the Manila Bay Reclamation Phase II infrastructure project located in the City of Manila, Philippines. The Vendor shall render all engineering, design, supervision, and quality assurance services as a licensed Civil Engineer registered with the Professional Regulation Commission (PRC) of the Republic of the Philippines.

  1. Scope of Work: The Vendor, acting in the capacity of a licensed Civil Engineer, shall perform all services described herein in strict compliance with the National Building Code of the Philippines (PD 1096), the National Structural Code of the Philippines (NSCP 2015), and all applicable regulations of the DPWH, LGU City of Manila, and the PRC.
  2. Professional Licensure: The Civil Engineer assigned to this Purchase Order must maintain a valid PRC license throughout the duration of the engagement. The Vendor shall provide a certified true copy of the PRC license and a Certificate of Professional Registration upon request by the Buyer.
  3. Payment Schedule: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 50% upon completion of the structural design and DPWH approval of drawings, and 20% upon final acceptance of the post-construction testing report. All payments shall be processed via bank transfer to the Vendor's designated account in the Philippines.
  4. Timeline: The Civil Engineer shall commence services within five (5) business days from the date of this Purchase Order. The total project duration shall not exceed twenty-four (24) months from the date of commencement, with all deliverables to be completed no later than May 31, 2027.
  5. Location of Services: All on-site services, inspections, and supervision shall be conducted at the project site located in the City of Manila, Philippines. The Buyer shall provide the Civil Engineer with reasonable access to the site, including safety equipment, transportation within the Manila project zone, and necessary office facilities.
  6. Intellectual Property: All drawings, calculations, reports, and documentation produced by the Civil Engineer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Vendor shall not reproduce or distribute such materials without written consent.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, as certified by the Civil Engineer's progress report.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising herefrom shall be resolved through the courts of competent jurisdiction in the City of Manila, Philippines.
  9. Confidentiality: The Vendor and the assigned Civil Engineer shall treat all project data, site plans, and proprietary information as strictly confidential and shall not disclose such information to any third party without the prior written consent of the Buyer.
  10. Compliance with Philippine Labor and Tax Laws: The Vendor shall ensure full compliance with the Philippine Labor Code, the National Internal Revenue Code (NIRC), and all local ordinances of the City of Manila, Philippines, including the payment of applicable withholding taxes and local business permits.

This Purchase Order is issued under the authority of the Board of Directors of Metro Manila Infrastructure Development Corporation and is subject to the approval of the Office of the President of the Republic of the Philippines for projects exceeding PHP 10,000,000.00 as mandated by the Philippine Government Procurement Reform Act (RA 9184) and its Implementing Rules and Regulations.
