1. SCOPE OF PROCUREMENT — CIVIL ENGINEER SERVICESThis Purchase Order is issued by Construcciones Mediterráneas S.A. to formally engage the services of a qualified Civil Engineer and associated engineering team provided by Ingeniería Civil Barcelona S.L. for the design, structural analysis, and technical supervision of the "Torre Mediterránia" mixed-use development project located in the Eixample district of Barcelona, Spain. The Civil Engineer shall be responsible for all structural design calculations, geotechnical assessments, building code compliance verification under the Spanish CTE (Código Técnico de la Edificación), and on-site construction oversight throughout the project lifecycle in Barcelona.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of Spain and the applicable commercial regulations of the Autonomous Community of Catalonia, with jurisdiction vested in the Courts and Tribunals of Barcelona, Spain.
- Payment Terms: Payment shall be made within 30 calendar days from the date of invoice receipt. Invoices shall be issued in Euros (EUR) and submitted to the Procurement Department of Construcciones Mediterráneas S.A. in Barcelona. Payment shall be executed via bank transfer to the account designated by Ingeniería Civil Barcelona S.L.
- Professional Qualification: The Civil Engineer assigned to this Purchase Order must hold a valid degree in Civil Engineering (Ingeniería Civil) from a Spanish university, be registered with the Ilustre Colegio Oficial de Ingenieros Civiles de Cataluña, and possess a minimum of fifteen (15) years of professional experience in structural design and construction supervision in Spain.
