- This Purchase Order is issued by Colombo Infrastructure Development (Pvt) Ltd. for the procurement of professional Civil Engineer services to be executed in Sri Lanka Colombo. The supplier acknowledges and accepts all terms and conditions stated herein by signing this document.
- The Civil Engineer and all sub-consultants engaged under this Purchase Order must hold valid professional registration with the Institution of Engineers, Sri Lanka (IESL) and possess a current practising certificate issued by the Sri Lanka Institution of Civil Engineers.
- All engineering services, designs, and deliverables must comply with the Sri Lanka Standard (SLS) codes, the Sri Lanka Building Code, and all applicable regulations of the Colombo Municipal Council and the Western Provincial Council, Sri Lanka.
- Payment shall be made in Sri Lankan Rupees (LKR) via bank transfer to the supplier's designated account in Sri Lanka. Invoices must be submitted within 14 days of milestone completion. Payment is due within 30 days of receipt of a valid invoice.
- The Civil Engineer shall provide a minimum of 14 days' written notice before any change in scope, schedule, or pricing. No additional charges shall be incurred without prior written approval from the Buyer's Project Director.
- All site work and supervision activities shall be conducted in Sri Lanka Colombo, and the Civil Engineer shall be present on-site a minimum of five (5) working days per week during active construction phases.
- The supplier shall maintain professional indemnity insurance with a minimum coverage of LKR 50,000,000 for the duration of the project, valid in Sri Lanka.
- Confidentiality: All project data, site plans, and proprietary information related to this Purchase Order shall be treated as strictly confidential by the Civil Engineer and shall not be disclosed to any third party without written consent from the Buyer.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall pay for all services satisfactorily rendered up to the date of termination.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government actions, or events beyond reasonable control, as defined under Sri Lankan law. Affected parties must notify the other within 48 hours of the occurrence.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes arising shall be resolved through arbitration in Colombo, Sri Lanka, in accordance with the Arbitration Act of Sri Lanka.
- This Purchase Order constitutes the entire agreement between the parties regarding the Civil Engineer services described herein and supersedes all prior negotiations, representations, or agreements relating to the subject matter in Sri Lanka Colombo.
