Payment Schedule: The Civil Engineer shall submit monthly invoices based on verified progress milestones. Payment shall be made within 30 days of invoice receipt via bank transfer to the account specified in Section 3. All payments are denominated in Swiss Francs (CHF).
Retention: A retention of 5% of each interim payment shall be withheld by Alpenbau Infrastructure AG and released in full upon successful completion and acceptance of the final as-built documentation, in accordance with Swiss Code of Obligations Article 394.
Advance Payment: An advance payment of 15% of the total Purchase Order value (CHF 58,464.95) shall be disbursed within 14 days of contract signature, subject to the Civil Engineer providing a bank guarantee issued by a Swiss-licensed financial institution.
Change Orders: Any modification to the scope of Civil Engineering services must be documented in a written amendment to this Purchase Order, signed by both parties, before additional work commences on the Zurich project site.
Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation under the Swiss Mediation Centre in Zurich. If mediation fails, the competent courts of the Canton of Zurich shall have exclusive jurisdiction.
Confidentiality: The Civil Engineer shall treat all project data, hydraulic models, and structural calculations as confidential information belonging to Alpenbau Infrastructure AG and the City of Zurich, in compliance with Swiss Federal Act on Data Protection (nFADP).
Insurance: The Civil Engineer shall maintain professional liability insurance (Berufshaftpflicht) with a minimum coverage of CHF 5,000,000 per claim, valid throughout the duration of services in Switzerland.
