This Purchase Order is issued by Meridian Infrastructure Solutions Ltd. to engage the services of a qualified Civil Engineer and associated engineering team for the design, supervision, and quality assurance of the Etimesgut Municipal Water Distribution Network Expansion Project located in the Etimesgut District of Ankara, Turkey. The Civil Engineer shall be responsible for all structural, geotechnical, hydraulic, and transportation engineering deliverables in strict compliance with the Turkish Building Code (TBDY 2018), the Turkish Standards Institution (TS) regulations, and the municipal zoning bylaws of the Ankara Metropolitan Municipality.

The Civil Engineer shall conduct all site inspections, soil investigations, and structural assessments within the Ankara metropolitan area. All engineering calculations, design drawings, and technical reports must be prepared in accordance with the professional standards mandated by the Ankara Chamber of Civil Engineers (İnşaat Mühendisleri Odası Ankara Şubesi) and submitted to the relevant Ankara municipal authorities for permitting and approval.

Performance Location: All Civil Engineer services under this Purchase Order shall be performed exclusively within the administrative boundaries of Ankara, Turkey. The primary work site is the Etimesgut District, with secondary access points in the Çankaya and Yenimahalle districts.
Professional Licensure: The assigned Civil Engineer must hold a valid professional license issued by the Ankara Chamber of Civil Engineers and must be registered with the Ministry of Environment, Urbanization and Climate Change of the Republic of Turkey. Proof of licensure shall be provided prior to commencement of work.
Compliance with Turkish Law: This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Turkey, including the Turkish Code of Obligations (Türk Borçlar Kanunu) and all applicable municipal regulations of Ankara.
Payment Schedule: Payment shall be made in four equal quarterly installments within 30 days of the Civil Engineer's certified progress report. The final installment is contingent upon successful handover of all as-built documentation to the Ankara Metropolitan Municipality.
Insurance: The Civil Engineer and the vendor firm shall maintain professional indemnity insurance with a minimum coverage of TRY 10,000,000, valid throughout the project duration in Ankara, Turkey.

Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-mandated shutdowns, or other force majeure events as defined under Turkish law, provided written notice is given within 72 hours.
Confidentiality: All project data, site plans, and technical specifications related to this Civil Engineer engagement in Ankara shall be treated as confidential and shall not be disclosed to third parties without written consent.
Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Civil Engineer shall be compensated for all services rendered up to the termination date in Ankara, Turkey.
