Payment for this Purchase Order shall be made in monthly installments via bank transfer to the supplier's designated account in Istanbul, Turkey. The first payment of 15% (TRY 419,760.00) shall be due within 10 business days of the Civil Engineer's commencement date on site. Subsequent monthly payments of 7.5% shall be due on the 5th of each following month, contingent upon the Civil Engineer submitting a signed monthly progress report accepted by the Purchaser's project manager. The final 15% retention shall be released within 30 days of project completion and successful handover to the Istanbul Metropolitan Municipality (İBB) building permit office.
- Qualification Requirement: The Civil Engineer assigned under this Purchase Order must hold a valid license from the Chamber of Civil Engineers of Turkey (TMMOB İnşaat Mühendisleri Odası) and possess a minimum of 10 years of experience in commercial construction projects within Turkey Istanbul.
- Compliance: All engineering services shall comply with the Turkish Building Code (TBDY 2018), Istanbul Metropolitan Municipality zoning regulations, and all applicable environmental and safety legislation of the Republic of Turkey.
- Insurance: The supplier shall maintain professional indemnity insurance of no less than TRY 5,000,000 and public liability insurance covering all activities of the Civil Engineer on the project site in Istanbul.
- Substitution: The Purchaser reserves the right to request substitution of the assigned Civil Engineer with 14 days' written notice if performance does not meet the standards outlined in this Purchase Order.
- Confidentiality: All project drawings, geotechnical data, and structural calculations produced by the Civil Engineer for this Purchase Order in Turkey Istanbul shall remain the exclusive property of the Purchaser.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Istanbul, Turkey, in accordance with the rules of the Istanbul Arbitration Institute (ISTAC).
- Force Majeure: Neither party shall be liable for delays caused by earthquakes, floods, or government-mandated shutdowns in Turkey Istanbul, provided written notice is given within 48 hours of the event.

By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Civil Engineer for the construction project in Turkey Istanbul. This document, once countersigned, becomes a legally binding procurement instrument under Turkish commercial law (Türk Ticaret Kanunu, Law No. 6102).
