This Purchase Order is issued by Midwest Infrastructure Development Corp. to engage the services of a licensed Civil Engineer for the design, analysis, and oversight of the Lakefront Corridor Rehabilitation Project located in the United States Chicago metropolitan area. The Civil Engineer shall provide all professional engineering services in compliance with the Illinois Department of Transportation (IDOT) standards, the Chicago Department of Transportation (CDOT) design guidelines, and all applicable federal regulations under the United States Department of Transportation.

1. This Purchase Order constitutes a binding agreement between Midwest Infrastructure Development Corp. and Whitfield Civil Engineering & Consulting, LLC upon signature by both parties. All services described herein shall be performed by a licensed Civil Engineer holding an active Illinois Professional Engineer license.
2. All work shall be performed in the United States Chicago area, specifically within Cook County, Illinois. The Civil Engineer shall maintain a minimum of 75% of on-site presence in Chicago during active construction phases.
3. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-2025-CH-04872). Invoices must be submitted to the Accounts Payable Department at the address listed above.
4. The Civil Engineer shall carry a minimum of $2,000,000 in professional liability (errors and omissions) insurance and $1,000,000 in general liability insurance, naming Midwest Infrastructure Development Corp. as an additional insured. Certificates of insurance must be provided prior to commencement of work.
5. All deliverables, including drawings, reports, and calculations, shall be provided in both PDF and CAD (AutoCAD 2025 or later) formats. The Civil Engineer retains intellectual property rights to proprietary design methodologies but grants the Purchasing Company a perpetual, non-exclusive license to use all project-specific deliverables.
6. Any change in scope, schedule, or cost exceeding five percent (5%) of the Purchase Order total requires a written Change Order signed by both parties before additional work commences.
7. The Civil Engineer shall comply with all applicable federal, state, and local laws, including but not limited to the Illinois Professional Engineering Act, OSHA safety regulations, and the City of Chicago Building Code.
8. This Purchase Order is governed by the laws of the State of Illinois, United States. Any disputes arising under this Purchase Order shall be resolved through binding arbitration in Chicago, Illinois, in accordance with the rules of the American Arbitration Association.
9. The Civil Engineer shall not subcontract any portion of the professional engineering services without prior written consent from the Purchasing Company. Any approved subcontractor must hold equivalent licensing and insurance.
10. Confidentiality: All project data, site information, and proprietary details shared under this Purchase Order shall be treated as confidential and shall not be disclosed to third parties without written authorization.

This Purchase Order has been reviewed and authorized for issuance by the undersigned representatives of Midwest Infrastructure Development Corp. The Civil Engineer acknowledges receipt and acceptance of all terms, conditions, and scope of work described in this document.
