This Purchase Order is issued by the Houston Metropolitan Infrastructure Authority to Meridian Civil Engineering Group, LLC for the engagement of a licensed Civil Engineer to perform comprehensive structural assessment, geotechnical analysis, and infrastructure design services for the Houston Bayou Waterway Rehabilitation Project.   1. Qualification Requirement: The Civil Engineer assigned to this Purchase Order must hold an active Professional Engineer (PE) license issued by the Texas Board of Professional Engineers, Land Surveyors, and Geoscientists, and must have a minimum of ten (10) years of experience in civil infrastructure projects within the Houston, Texas metropolitan area.
  2. Performance Location: All fieldwork, site inspections, and on-site engineering services under this Purchase Order shall be performed within the city limits of Houston, Harris County, Texas, United States, unless otherwise authorized in writing by the Issuing Authority.
  3. Compliance: The Civil Engineer shall adhere to all applicable federal, state, and local regulations, including the Clean Water Act, the National Flood Insurance Program (NFIP) standards, and the City of Houston Building Code. All engineering deliverables must conform to ASCE 7-22 and AASHTO LRFD Bridge Design Specifications.
  4. Payment Schedule: Invoices shall be submitted monthly upon completion of milestone deliverables. Payment will be made within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as permitted under Texas Government Code Chapter 2258.
  5. Insurance: The Civil Engineer and the vendor entity shall maintain Commercial General Liability insurance of not less than $2,000,000 per occurrence, Professional Liability (Errors & Omissions) insurance of not less than $5,000,000, and Workers' Compensation insurance as required by the State of Texas. Certificates of insurance naming the Houston Metropolitan Infrastructure Authority as additional insured must be provided prior to commencement of work.
  6. Intellectual Property: All engineering drawings, reports, models, and documentation produced under this Purchase Order shall become the property of the Houston Metropolitan Infrastructure Authority upon full payment. The Civil Engineer retains the right to use general methodologies and non-proprietary data for future professional practice.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Civil Engineer shall be compensated for all services rendered and documented costs incurred up to the effective date of termination.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas and the United States of America. Any disputes shall be resolved through binding arbitration in Houston, Texas, in accordance with the rules of the American Arbitration Association.
  9. Anti-Discrimination: The Civil Engineer and all subcontractors shall comply with all United States federal and Texas state anti-discrimination statutes, including Title VII of the Civil Rights Act of 1964 and the Texas Labor Code.
