This Purchase Order authorizes the procurement of professional Civil Engineer services from Meridian Civil Engineering Group, LLC for the design, structural analysis, and regulatory compliance review of the Los Angeles Riverside Corridor Rehabilitation Project. - Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California and the federal laws of the United States. Any disputes arising under this Purchase Order shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, United States.
- Payment Terms: Net 30 days from receipt of a valid invoice. Invoices shall be submitted monthly in arrears. Payment shall be made via ACH transfer to the vendor account on file. Late payments shall accrue interest at 1.5% per month as permitted under California Civil Code Section 3289.
- Performance Schedule: The Civil Engineer shall commence work no later than July 1, 2025, and shall deliver all final engineering documents no later than November 15, 2025. A liquidated damages clause of $2,500 per calendar day applies for delays beyond the completion date, excluding force majeure events.
- Licensing and Compliance: The Civil Engineer must maintain all required professional licenses, including a valid California P.E. license and a Los Angeles City business license, for the entire duration of this Purchase Order. Failure to maintain licensure constitutes immediate grounds for termination.
- Insurance: The vendor shall carry and maintain Commercial General Liability insurance of not less than $5,000,000 per occurrence, Professional Liability (Errors & Omissions) insurance of not less than $5,000,000, and Workers' Compensation insurance as required by California Labor Code. Certificates of insurance shall be provided prior to commencement of work.
- Intellectual Property: All engineering drawings, reports, calculations, and documents produced under this Purchase Order shall become the sole property of LAMIA upon full payment. The Civil Engineer retains the right to reference the project in professional portfolios with prior written consent.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination for convenience, the Civil Engineer shall be compensated for all work completed and documented through the termination date, plus reasonable demobilization costs not to exceed 5% of the remaining contract value.
- Anti-Discrimination and Equal Opportunity: The vendor shall comply with all federal and California anti-discrimination statutes, including the California Fair Employment and Housing Act (FEHA), and shall ensure equal opportunity in all aspects of project staffing and subcontracting within Los Angeles, United States.
- Confidentiality: All project data, site coordinates, and proprietary engineering information exchanged under this Purchase Order shall be treated as confidential and shall not be disclosed to third parties without written authorization from LAMIA.
- Dispute Resolution: Prior to initiating litigation, the parties agree to attempt resolution through mediation administered by the American Arbitration Association in Los Angeles, California. If mediation fails within 60 days, either party may pursue binding arbitration under the AAA Construction Industry Arbitration Rules.
