This Purchase Order is issued by Miami Coastal Infrastructure Development Corp. to engage the services of a licensed Civil Engineer and associated engineering team for the design, analysis, and oversight of the Biscayne Bay Shoreline Reinforcement Project located in United States Miami, Florida. 1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States, and the municipal ordinances of the City of Miami, United States Miami. Any disputes arising under this Purchase Order shall be resolved through binding arbitration in Miami-Dade County, Florida.
2. Payment Terms: Payment shall be made net thirty (30) days from receipt of an approved invoice. The Civil Engineer shall submit monthly progress invoices supported by a certified statement of work completed. A retainage of ten percent (10%) shall be withheld from each progress payment and released upon final acceptance of all deliverables.
3. Performance Schedule: The Civil Engineer shall commence services within ten (10) business days of the effective date of this Purchase Order. The total project duration is estimated at twenty (20) months from the Notice to Proceed, with a target substantial completion date of February 28, 2027.
4. Licensing and Insurance: The Civil Engineer and all sub-consultants shall maintain valid Florida Professional Engineer (P.E.) licenses throughout the duration of this Purchase Order. The service provider shall carry Professional Liability (Errors & Omissions) insurance of no less than $5,000,000 per occurrence and General Liability insurance of $2,000,000, naming the Buyer as an additional insured.
5. Deliverables: All engineering drawings, reports, and models shall be delivered in both electronic (PDF, DWG, RVT, and native modeling formats) and hard-copy (three sets) formats. All stamped drawings shall bear the seal of the responsible Civil Engineer licensed in the State of Florida.
6. Change Orders: Any modification to the scope of work defined in this Purchase Order must be documented in a written Change Order signed by both parties. No additional compensation shall be due for work not expressly authorized under this Purchase Order or a valid Change Order.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the Civil Engineer shall be compensated for all work satisfactorily completed through the termination date, plus reasonable demobilization costs not to exceed five percent (5%) of the remaining contract value.
8. Confidentiality: All project data, site surveys, and proprietary engineering information exchanged under this Purchase Order shall be treated as confidential and shall not be disclosed to third parties without prior written consent of the Buyer.
