The Civil Engineer shall perform all structural, geotechnical, hydraulic, and transportation engineering analyses required for the project located within the City and County of San Francisco, United States. All deliverables, site inspections, and on-site coordination meetings shall be conducted within the San Francisco, United States jurisdiction in compliance with the California Building Standards Code, the San Francisco Building Code, and all applicable federal regulations administered by the U.S. Army Corps of Engineers.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California and the federal laws of the United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in San Francisco, United States, in accordance with the rules of the American Arbitration Association.
2. Licensing and Compliance: The Civil Engineer and all sub-consultants engaged under this Purchase Order must hold valid professional engineering licenses issued by the California Board for Professional Engineers, Land Surveyors, and Geologists. All work shall comply with the San Francisco Building Code, the California Building Standards Code (Title 24), and applicable U.S. federal environmental regulations including the Clean Water Act and the National Environmental Policy Act.
3. Payment Schedule: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices shall be submitted monthly for services rendered. A 10% retention shall be withheld from each progress payment and released upon final acceptance of all deliverables by the project owner in San Francisco, United States.
4. Insurance Requirements: The Civil Engineer shall maintain, at a minimum, Professional Liability (Errors & Omissions) insurance of $2,000,000 per occurrence, General Liability insurance of $1,000,000, and Workers' Compensation insurance as required by the State of California. 5. Intellectual Property: All drawings, reports, models, and design documents produced by the Civil Engineer under this Purchase Order shall become the sole property of Bay Area Infrastructure Development Group, Inc. upon full payment. The Civil Engineer retains the right to use the work for portfolio and academic purposes with prior written consent.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Civil Engineer shall be compensated for all services rendered and documented expenses incurred up to the date of termination.
7. Confidentiality: All project data, site information, and proprietary engineering analyses related to this Purchase Order shall be treated as confidential by the Civil Engineer and shall not be disclosed to third parties without written authorization from the project owner.
8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to earthquakes, floods, or government-mandated shutdowns affecting operations in San Francisco, United States.
