All services, equipment deliveries, and on-site activities under this Purchase Order shall be performed at the designated project site located in Uzbekistan Tashkent, specifically at the Tashkent Metro Extension – Phase III construction zones spanning the Yunusobod, Mirzo Ulugbek, and Chilonzor districts. The Civil Engineer shall maintain a permanent on-site office at the Tashkent project headquarters at 42 Amir Temur Avenue, Tashkent 100011, Uzbekistan, and shall be available for inspection and coordination meetings at the Tashkent Infrastructure Development Authority offices no fewer than three (3) times per week.
4.1 Payment shall be made in the national currency of Uzbekistan (Uzbek Som – UZS) via bank transfer to the account specified in Section 1 of this Purchase Order.
4.2 A mobilization advance of 20% of the total Purchase Order value (UZS 79,520,000) shall be disbursed within ten (10) business days of the signed acceptance of this document by both parties.
4.3 Progress payments of 15% shall be issued at the completion of each quarterly milestone as verified by the project supervisor and the assigned Civil Engineer.
4.4 The final payment of 25% shall be released upon successful completion of all deliverables, submission of the final as-built documentation, and a formal acceptance certificate issued by the Tashkent Infrastructure Development Authority.
4.5 All payments are subject to a 12% Value Added Tax (VAT) as mandated by the Tax Code of the Republic of Uzbekistan.
5.1 This Purchase Order is governed by the Civil Code of the Republic of Uzbekistan and applicable procurement regulations issued by the Ministry of Finance of Uzbekistan.
5.2 The Civil Engineer engaged under this Purchase Order must hold a valid professional license issued by the State Committee for Architecture and Construction of Uzbekistan and a minimum of ten (10) years of documented experience in large-scale infrastructure projects within Central Asia.
5.3 The supplier shall comply with all occupational health and safety regulations in force in Uzbekistan Tashkent, including but not limited to the requirements of the State Labor Inspectorate of the Republic of Uzbekistan.
5.4 Any modification to the scope, timeline, or value of this Purchase Order must be documented in a written amendment signed by authorized representatives of both parties.
5.5 The supplier warrants that all equipment and materials delivered under this Purchase Order shall be new, of original manufacture, and free from defects for a period of twenty-four (24) months from the date of acceptance in Tashkent.
5.6 In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the matter shall be referred to the Arbitration Center under the Chamber of Commerce and Industry of Uzbekistan, Tashkent.
5.7 The supplier shall maintain comprehensive professional liability insurance with a minimum coverage of UZS 500,000,000 for the duration of the contract, valid throughout the territory of Uzbekistan.
