1. This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Service Provider for the provision of Civil Engineer professional services in Venezuela Caracas. All terms herein shall be governed by the Civil Code of the Bolivarian Republic of Venezuela and applicable commercial regulations.
2. The Civil Engineer assigned to this project must hold a valid professional license (Cédula Profesional) issued by the Colegio de Ingenieros de Venezuela and must possess a minimum of fifteen (15) years of experience in structural engineering for high-rise residential projects in the Venezuela Caracas region.
3. Payment shall be made in four (4) equal installments of $43,237.50 USD, due at the following milestones: (a) upon execution of this Purchase Order and submission of the structural design package; (b) upon completion of geotechnical coordination; (c) upon completion of month 7 of on-site supervision; and (d) upon delivery of final as-built documentation and municipal certification in Venezuela Caracas.
4. All deliverables produced by the Civil Engineer shall be submitted in both digital (PDF, CAD, and structural analysis software formats) and hard-copy (three (3) bound sets) to the Purchasing Entity's office in Venezuela Caracas.
5. The Service Provider warrants that all engineering calculations, designs, and recommendations provided by the Civil Engineer shall comply with the Venezuelan National Building Code, the seismic design provisions for the Venezuela Caracas metropolitan zone (Zone 4 seismic classification), and all applicable municipal regulations of the Alcaldía de Chacao.
6. Any change in scope, additional structural modifications, or extended supervision beyond the 14-month period specified in this Purchase Order shall require a written Change Order signed by both parties before execution. No additional work by the Civil Engineer shall be compensated without prior written authorization.
7. The Service Provider shall maintain professional liability insurance with a minimum coverage of $500,000 USD for the duration of the project, naming the Purchasing Entity as an additional insured. Proof of insurance shall be provided prior to the commencement of services in Venezuela Caracas.
8. Confidentiality: All project plans, structural data, site-specific geotechnical information, and proprietary engineering methodologies shared in connection with this Purchase Order shall be treated as strictly confidential by the Civil Engineer and the Service Provider. This obligation shall survive the termination of this agreement for a period of five (5) years.
9. Dispute resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through binding arbitration in Venezuela Caracas, in accordance with the arbitration rules of the Cámara de Comercio e Industria de Caracas.
10. This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. Failure to accept within this period shall render this document null and void, and the Purchasing Entity reserves the right to reissue a new Purchase Order to an alternative Civil Engineer provider.
