This Purchase Order is issued by Harare Infrastructure Development Corporation (HIDC) to engage the services of a qualified Civil Engineer for the design, supervision, and technical oversight of the Harare Eastern Bypass Road Rehabilitation Project. The Civil Engineer shall provide all professional civil engineering services as outlined below, in full compliance with the Zimbabwe National Building Regulations, the Roads Act [Chapter 13:26], and the standards set forth by the Zimbabwe Institution of Engineers (ZIE).

- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Civil Engineer (Eng. Farai Ncube) within ten (10) business days of the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
- Commencement: The Civil Engineer shall mobilise to the project site in Harare, Zimbabwe, no later than 1 July 2025. All geotechnical investigations must commence within the first two weeks of the contract period.
- Payment Terms: Payment shall be made in United States Dollars (USD) via bank transfer to the account of Ncube Civil Engineering & Structural Consultants (Pvt) Ltd. Invoices shall be submitted monthly and are payable within thirty (30) days of receipt of a valid invoice. A 10% retention shall be withheld from each interim payment and released upon final certification of the completed works.
- Professional Standards: The Civil Engineer shall perform all services in accordance with the Code of Professional Conduct of the Zimbabwe Institution of Engineers, the Zimbabwe National Building Regulations, and all applicable statutes of the Republic of Zimbabwe. The Civil Engineer shall maintain professional indemnity insurance of not less than USD 500,000 for the duration of this Purchase Order.
- Compliance with Local Regulations: All design and engineering work shall comply with the standards and by-laws of Harare City Council, the Roads and Bridges Division of the Ministry of Local Government and Public Works, Zimbabwe, and the Environmental Management Agency (EMA) of Zimbabwe. The Civil Engineer is responsible for obtaining all necessary permits and approvals related to the engineering design.
- Intellectual Property: All drawings, reports, calculations, and documentation produced under this Purchase Order shall become the property of Harare Infrastructure Development Corporation upon full payment. The Civil Engineer shall not reuse or disclose such materials without written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Civil Engineer shall be compensated for all services rendered up to the date of termination, less the applicable retention.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be referred to mediation under the Zimbabwe Mediation Act. If unresolved within sixty (60) days, the matter shall be referred to arbitration in Harare, Zimbabwe, under the rules of the Zimbabwe Arbitration Centre. The governing law shall be the laws of the Republic of Zimbabwe.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest in Zimbabwe Harare, provided that the affected party gives prompt written notice.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all project details, financial terms, and technical data exchanged under this Purchase Order.
This Purchase Order is issued and authorised by the undersigned on behalf of Harare Infrastructure Development Corporation, Zimbabwe Harare, and is accepted by the undersigned Civil Engineer on behalf of Ncube Civil Engineering & Structural Consultants (Pvt) Ltd.
