2. The Computer Engineer shall commence work no later than June 25, 2025, and shall complete all primary deliverables by September 30, 2025, unless otherwise agreed in writing by both parties.
3. All on-site work shall be performed at the Andes Digital Solutions facility located in Córdoba, Province of Córdoba, Argentina. The Computer Engineer is expected to be physically present in Argentina Córdoba for a minimum of five (5) business days per week during the active implementation phase.
4. Payment shall be processed in three (3) equal installments: 30% upon execution of this Purchase Order, 40% upon completion of the network architecture and virtualization phases, and 30% upon final acceptance of all deliverables and delivery of the compliance certification for the Argentina Córdoba site.
5. The Computer Engineer shall maintain full professional liability insurance and shall indemnify the purchasing entity against any claims arising from professional negligence in the execution of services under this Purchase Order.
6. All intellectual property, technical documentation, source code, and architectural designs produced under this Purchase Order shall be the exclusive property of Andes Digital Solutions S.A. upon full payment.
7. Any modifications to the scope of work defined in this Purchase Order must be approved in writing by both parties and shall be documented as a formal amendment to this Purchase Order.
8. This Purchase Order shall be governed by and interpreted in accordance with the laws of the Argentine Republic, with exclusive jurisdiction of the commercial courts of the city of Córdoba, Province of Córdoba, Argentina.
9. The Computer Engineer shall comply with all applicable labor regulations, data protection laws (Ley 25.326), and telecommunications regulations in force in Argentina Córdoba throughout the duration of this engagement.
10. Failure by the Computer Engineer to meet the agreed milestones without prior written justification may result in a penalty of 0.5% of the total Purchase Order value per business day of delay, up to a maximum of 10%.
