The Computer Engineer engaged under this Purchase Order shall hold a minimum of a Bachelor of Engineering (Computer Systems) or equivalent qualification recognised by Engineers Australia, and shall possess a minimum of eight (8) years of professional experience in computer architecture, systems integration, and high-performance computing environments. The Computer Engineer must be physically based in or willing to relocate to Australia Brisbane to fulfil on-site obligations as specified herein.

The Computer Engineer shall commence all duties no later than 1 July 2025 at the Buyer's primary facility located at 400 George Street, Brisbane, Queensland, Australia Brisbane 4000. All deliverables, including but not limited to system design documents, network topology diagrams, firmware source code, and commissioning reports, shall be submitted to the Buyer's project manager in accordance with the milestone schedule attached as Appendix A to this Purchase Order. The anticipated completion date for all services is 30 September 2025.

1. This Purchase Order is governed by the laws of the State of Queensland and the Commonwealth of Australia. Any disputes arising from this engagement shall be resolved in the courts of Australia Brisbane.
2. The Computer Engineer shall comply with all applicable Australian workplace health and safety regulations, including those administered by WorkSafe Queensland, while performing duties at the Buyer's Brisbane premises.
3. All intellectual property, designs, code, and documentation produced by the Computer Engineer in the course of this Purchase Order shall be the sole property of the Buyer upon full payment.
4. The Supplier warrants that the Computer Engineer assigned to this Purchase Order holds current professional indemnity insurance with a minimum cover of AUD 10,000,000 and public liability insurance of AUD 20,000,000.
5. Payment shall be rendered within thirty (30) calendar days of receipt of a valid tax invoice from the Supplier. Late payments shall attract interest at the rate prescribed under the Australian Consumer Law.
6. The Buyer reserves the right to terminate this Purchase Order with fourteen (14) days' written notice if the Computer Engineer fails to meet the performance benchmarks outlined in Appendix B, or if the Computer Engineer is unable to maintain a physical presence in Australia Brisbane as required.
7. Confidentiality obligations under this Purchase Order shall survive termination for a period of five (5) years. All data processed by the Computer Engineer shall be handled in accordance with the Australian Privacy Act 1988 (Cth).
8. Any variation to the scope, timeline, or pricing of this Purchase Order must be agreed in writing by both parties prior to execution of the varied work.
