The Computer Engineer assigned to this contract must hold a minimum of a bachelor's degree in Computer Engineering (Engenharia de Computação) from an accredited institution in Brazil and possess a valid registration with the Conselho Federal de Engenharia e Agronomia (CREA-SP).

1. Payment Terms: Payment shall be made in three (3) equal installments of R$ 160,000.00 via bank transfer (TED/PIX) to the supplier's account in Brazil. The first installment is due upon acceptance of this Purchase Order. The second installment is due upon completion of Week 8 of the Computer Engineer's on-site engagement in São Paulo. The final installment is due upon successful delivery and acceptance of all documentation and equipment.
2. Delivery & Location: All services shall be rendered at the buyer's facility located in Brazil São Paulo (Av. Paulista, 1578, Bela Vista). All equipment listed in this Purchase Order shall be delivered, installed, and calibrated at the same location no later than July 15, 2025. The Computer Engineer shall report to the site on business days from 08:00 to 18:00 BRT.
3. Compliance: The Computer Engineer and all personnel engaged under this Purchase Order must comply with all applicable Brazilian labor laws (CLT), data protection regulations (LGPD – Lei Geral de Proteção de Dados), and technical standards issued by ABNT (Associação Brasileira de Normas Técnicas). The supplier warrants that the Computer Engineer holds valid CREA-SP registration and professional liability coverage.
4. Intellectual Property: All work product, designs, source code, and documentation created by the Computer Engineer under this Purchase Order shall be the exclusive property of TechNova Solutions Brasil Ltda. upon full payment. The supplier grants no license to reuse, reproduce, or distribute such materials without written consent.
5. Warranties: All equipment delivered under this Purchase Order carries a minimum 24-month manufacturer warranty. The Computer Engineer's professional services carry a 90-day defect liability period from the date of final acceptance in Brazil São Paulo.
6. Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the buyer shall pay for all services rendered and equipment delivered up to the termination date. The Computer Engineer shall return all proprietary materials and equipment belonging to the buyer.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any disputes shall be resolved by the competent courts of the city of São Paulo, State of São Paulo, Brazil.
Acceptance & AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Computer Engineer and procurement of associated technical equipment in Brazil São Paulo. This document constitutes a binding agreement between the parties upon execution.
