This Purchase Order is issued by Shanghai TechBridge Solutions Co., Ltd. (hereinafter referred to as the "Buyer") to Global Engineering Talent Partners LLC (hereinafter referred to as the "Supplier") for the recruitment, placement, and ongoing professional services of a qualified Computer Engineer to be stationed and performing duties in China Shanghai. The Computer Engineer shall be responsible for the design, development, testing, and maintenance of embedded systems, firmware, and hardware-software integration solutions for the Buyer's product lines manufactured and distributed from the China Shanghai facility.

4.1 This Purchase Order is governed by the laws of the People's Republic of China and shall be interpreted in accordance with the Civil Code of the PRC. Any disputes arising from this Purchase Order related to the Computer Engineer's employment in China Shanghai shall be subject to the exclusive jurisdiction of the Shanghai International Arbitration Center.

4.2 The Supplier guarantees that the Computer Engineer placed under this Purchase Order holds a valid degree in Computer Engineering, Electrical Engineering, or a closely related discipline from an accredited institution, and possesses a minimum of eight (8) years of progressive experience in hardware design, firmware development, and system integration.

4.3 The Computer Engineer shall be required to work full-time (40 hours per week) at the Buyer's designated facility in China Shanghai, Pudong New Area. The Supplier shall ensure that all necessary work permits, residence permits, and professional licenses required for the Computer Engineer to legally perform engineering duties in China Shanghai are obtained prior to the commencement date.

4.4 Payment shall be made via wire transfer to the Supplier's designated bank account. Invoices shall be submitted monthly by the 5th business day for the preceding month's services rendered by the Computer Engineer in China Shanghai. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.

4.5 The Supplier shall maintain professional liability insurance covering the Computer Engineer for a minimum sum of CNY 5,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided to the Buyer upon request.

4.6 Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Supplier shall facilitate the orderly transition of all Computer Engineer deliverables, documentation, and intellectual property to the Buyer's China Shanghai engineering department.

4.7 All intellectual property, designs, code, and technical documentation created by the Computer Engineer during the term of this Purchase Order while performing duties in China Shanghai shall be the sole and exclusive property of Shanghai TechBridge Solutions Co., Ltd.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Computer Engineer services to be delivered in China Shanghai.
