3. Scope of Procurement — Computer Engineer Services

This Purchase Order is issued by the Addis Ababa Digital Infrastructure Authority to formally procure the professional services of a qualified Computer Engineer to be deployed and stationed in Ethiopia Addis Ababa. The Computer Engineer shall be responsible for the design, implementation, maintenance, and optimization of the Authority's enterprise IT infrastructure, including but not limited to server architecture, network systems, cybersecurity protocols, and software development environments. The Computer Engineer must hold a minimum of a Bachelor's degree in Computer Engineering or a closely related field from an accredited institution recognized by the Ethiopian Ministry of Education, and must possess a minimum of five (5) years of progressive professional experience in enterprise-level systems engineering.

5. Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia, specifically the Ethiopian Civil Code and the Ethiopian Commercial Code. Any disputes arising from this Purchase Order related to the Computer Engineer engagement in Ethiopia Addis Ababa shall be resolved through arbitration in Addis Ababa under the rules of the Ethiopian Arbitration and Conciliation Institute.
  2. Payment Terms: Payment shall be made in Ethiopian Birr (ETB) via bank transfer to the supplier's designated account. The first installment of 30% shall be due upon execution of this Purchase Order. Subsequent payments of 25% shall be due at the end of each quarter, contingent upon satisfactory performance evaluation of the Computer Engineer. The final 15% shall be due upon successful completion of the 12-month contract term.
  3. Delivery and Commencement: The Computer Engineer shall commence duties no later than 30 calendar days from the date of this Purchase Order. The Computer Engineer shall be physically present at the AADIA headquarters located in Bole, Addis Ababa, Ethiopia, for a minimum of five (5) working days per week, Monday through Friday, from 08:00 to 17:00 East Africa Time (EAT).
  4. Qualifications and Compliance: The Computer Engineer must hold a valid Ethiopian work permit, a national identification card or residence permit, and must pass a background check conducted in accordance with Ethiopian labor regulations. The Computer Engineer must demonstrate proficiency in at least three of the following: enterprise network engineering, cloud infrastructure (AWS, Azure, or GCP), cybersecurity (CISSP or equivalent), and embedded systems design.
  5. Intellectual Property: All work product, designs, code, documentation, and innovations created by the Computer Engineer during the term of this Purchase Order shall be the exclusive property of the Addis Ababa Digital Infrastructure Authority. The Computer Engineer shall sign a non-disclosure agreement (NDA) and intellectual property assignment document prior to commencing work in Ethiopia Addis Ababa.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach by the Computer Engineer, including but not limited to gross negligence, unauthorized disclosure of confidential information, or failure to meet performance benchmarks, the Authority reserves the right to terminate immediately without penalty.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, civil unrest in Ethiopia, or pandemics, provided that the affected party notifies the other within 48 hours of the occurrence.
  8. Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the technical specifications of the Computer Engineer's work, and all proprietary information exchanged during the engagement in Ethiopia Addis Ababa. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
  9. Anti-Corruption: The supplier warrants that no part of the compensation under this Purchase Order has been or will be offered, paid, or promised to any government official in Ethiopia in violation of the Ethiopian Anti-Corruption Proclamation No. 798/2013.
6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Computer Engineer services in Ethiopia Addis Ababa. This document constitutes a binding agreement effective from the date of the last signature.
