2. Description of Procurement

This Purchase Order is issued by Provence Digital Solutions SARL to procure the professional services of a qualified Computer Engineer to be deployed at our primary operational facility located in France Marseille. The engagement is intended to support the design, implementation, and maintenance of our enterprise-level computing infrastructure, software development pipelines, and network architecture within the Marseille metropolitan area. The Computer Engineer shall operate under the direct supervision of our Chief Technology Officer and will be responsible for ensuring the continuity, security, and scalability of all digital systems serving our clients across the Provence-Alpes-Côte d'Azur region.

4. Delivery and Commencement Details

The Computer Engineer shall commence all professional services no later than 1 September 2025 at the buyer's premises located at 12 Boulevard du Littoral, 13007 France Marseille. The supplier is required to ensure that the Computer Engineer possesses all necessary professional qualifications, including but not limited to a recognized engineering degree (Diplôme d'Ingénieur) or equivalent certification, and holds valid work authorization for the French territory. All on-site work shall be conducted within the France Marseille metropolitan area unless otherwise agreed in writing by both parties. The supplier shall provide a minimum of fourteen (14) calendar days' written notice prior to any substitution of the assigned Computer Engineer.

5. Payment Terms

Payment for this Purchase Order shall be made in monthly installments via bank transfer (virement bancaire) to the supplier's designated account. Invoices shall be submitted by the 5th business day of each month for services rendered in the preceding month. Payment is due within thirty (30) calendar days of invoice receipt. Late payments shall incur interest at the rate of 1.5% per month in accordance with French commercial law (Code de commerce, Article L441-10). The total contract value of this Purchase Order is fixed at EUR 222,480.00 (inclusive of VAT) and shall not be subject to escalation unless a formal amendment is executed by both parties.

6. Terms and Conditions

This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All terms herein shall be governed by and interpreted in accordance with the laws of the French Republic.
The Computer Engineer engaged under this order shall comply with all applicable French labor regulations, data protection laws (GDPR / RGPD), and professional standards as defined by the Ordre des Ingénieurs and relevant industry bodies operating in France Marseille.
The Supplier warrants that the Computer Engineer shall maintain full professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of EUR 1,000,000 for the entire duration of the contract.
All intellectual property, source code, system designs, and technical documentation produced by the Computer Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of Provence Digital Solutions SARL.
The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, failure to meet performance benchmarks, or insolvency of the Supplier. In such cases, payment shall be limited to services actually rendered and accepted up to the termination date.
Any disputes arising from this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, France Marseille, unless amicable resolution is achieved within sixty (60) days of written notice of dispute.
The Supplier shall ensure that the Computer Engineer adheres to the Buyer's internal security protocols, confidentiality agreements, and code-of-conduct policies applicable to all personnel operating within the France Marseille facility.
Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the France Marseille region, shall suspend obligations under this Purchase Order for the duration of the event, provided written notice is given within five (5) business days.

7. Acceptance and Authorization

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Computer Engineer services in France Marseille. This document is executed in two (2) original copies, one for each party.
