This Purchase Order is issued by TechNova Solutions Pvt. Ltd., headquartered in India Mumbai, to formally procure the professional services of a qualified Computer Engineer for the duration of the project specified herein. The engagement of the Computer Engineer is intended to support the design, implementation, testing, and maintenance of enterprise-grade computing infrastructure, network architecture, and embedded systems within our India Mumbai operations centre. All deliverables, site visits, and on-site consultations shall be conducted at the buyer's premises located in India Mumbai unless otherwise agreed in writing.

Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier within seven (7) calendar days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
Qualification of Computer Engineer: The Computer Engineer assigned to this engagement must hold a minimum of a Bachelor's degree in Computer Engineering, Computer Science, or Electronics & Communication Engineering from an AICTE-approved institution in India. A minimum of eight (8) years of progressive experience in enterprise computing, network engineering, and embedded systems is mandatory. The Supplier shall provide a detailed CV and relevant certifications prior to commencement of work in India Mumbai.
Place of Performance: All services under this Purchase Order shall be rendered at the buyer's facility located in India Mumbai, Maharashtra, unless a remote or hybrid work arrangement is mutually agreed upon in a written addendum.
Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Supplier. Invoices must reference this Purchase Order number (IN-MUM-CE-2025-00472). Payment shall be processed via NEFT/RTGS to the Supplier's designated bank account in India Mumbai.
Intellectual Property: All work product, designs, code, documentation, and deliverables created by the Computer Engineer in the course of this engagement shall be the exclusive property of TechNova Solutions Pvt. Ltd. The Computer Engineer and the Supplier hereby assign all intellectual property rights to the buyer.
Confidentiality: The Computer Engineer shall be bound by a Non-Disclosure Agreement (NDA) covering all proprietary information, trade secrets, and operational data of the buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Supplier shall be compensated for services rendered up to the effective date of termination, less any applicable deductions.
Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India Mumbai, Maharashtra.
Compliance: The Supplier and the assigned Computer Engineer shall comply with all applicable Indian labour laws, data protection regulations (including the Digital Personal Data Protection Act, 2023), and local municipal bylaws applicable in India Mumbai.
Warranty and Support: The Supplier warrants that the Computer Engineer shall perform all services with reasonable skill, care, and diligence. A post-delivery support window of fifteen (15) days shall be provided at no additional cost for any defects or non-conformities identified in the deliverables.
