  1. Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Computer Engineer (Dr. Saeed Mohammadi) within ten (10) business days of the date of issue. Failure to respond within this period shall render this Purchase Order void.
  2. Commencement: All services described herein shall commence no later than 1 July 2025 at the PDI headquarters located in Tehran, Iran. The Computer Engineer shall report to the PDI Project Manager on the first day of engagement.
  3. Payment Schedule: Payment shall be made in three (3) installments: 30% upon contract signing, 40% upon completion of Items 01 through 03, and 30% upon final acceptance of all deliverables including the security audit and training. All payments shall be processed via bank transfer to the account designated by the Computer Engineer, in accordance with the Central Bank of Iran regulations.
  4. Intellectual Property: All designs, documentation, code, and technical specifications produced by the Computer Engineer under this Purchase Order shall become the exclusive property of Persia Digital Infrastructure Co., Ltd. upon full payment.
  5. Confidentiality: The Computer Engineer agrees to maintain strict confidentiality regarding all proprietary information, network topologies, and security vulnerabilities encountered during the engagement in Tehran. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  6. Compliance with Iranian Law: The Computer Engineer warrants that all services rendered under this Purchase Order shall comply with the laws of the Islamic Republic of Iran, including but not limited to the Civil Code, the Information Technology Law of 2003, and regulations issued by the Iranian Telecommunication Regulatory Authority (ITRA) in Tehran.
  7. Warranty: The Computer Engineer provides a warranty period of twelve (12) months from the date of final acceptance. During this period, any defects in design or implementation shall be rectified at no additional cost to the Buyer.
  8. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall compensate the Computer Engineer for all services rendered up to the date of termination, less any applicable penalties as defined herein.
  9. Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to the competent courts of Tehran, Iran, in accordance with the Civil Procedure Code of the Islamic Republic of Iran.
  10. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Tehran region.

All services under this Purchase Order shall be performed at the following locations within Tehran, Iran:

  • Primary Site: PDI Headquarters, 142 Vali-e-Asr Street, Tehran, 14736-14521, Iran
  • Secondary Site: PDI Data Center, 55 Shohada Street, Tehran, 14187-22105, Iran
  • Training Venue: PDI Conference Hall, 3rd Floor, Tehran Headquarters

The Computer Engineer is expected to be physically present at the Tehran sites for a minimum of five (5) working days per week during the active implementation phase. Remote work may be permitted only with prior written approval from the PDI Project Manager.
