3.1 Governing Law: This Purchase Order and all associated agreements shall be governed by and construed in accordance with the laws of the Republic of Côte d'Ivoire (Ivory Coast), including the Ivorian Commercial Code and applicable labor regulations. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through the competent commercial courts of Abidjan, Ivory Coast, or by arbitration under the rules of the Ivorian Chamber of Commerce and Industry (CCI Abidjan).

3.2 Commencement and Location: The Computer Engineer shall commence all duties no later than 01 August 2025 at the Buyer's designated premises located in the Cocody Business District, Abidjan, Ivory Coast. All on-site work, meetings, and deliverable presentations shall take place within the administrative boundaries of Ivory Coast Abidjan unless otherwise authorized in writing by the Buyer's Project Director.

3.3 Payment Schedule: Payment for services rendered under this Purchase Order shall be made in monthly installments via bank transfer to the Supplier's designated account at a bank operating in Abidjan, Ivory Coast. Invoices shall be submitted by the 5th business day of each month for the preceding month's services. Payment shall be processed within thirty (30) calendar days of invoice receipt. All amounts are denominated in West African CFA Francs (XOF) and are subject to applicable Ivorian withholding tax and social security contributions as mandated by the Direction Générale des Impôts (DGI) of Ivory Coast.

3.4 Intellectual Property: All work product, designs, code, documentation, and deliverables created by the Computer Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of the Buyer. The Computer Engineer hereby assigns all intellectual property rights arising from the engagement to Abidjan Digital Infrastructure S.A. upon full payment.

3.5 Confidentiality and Data Protection: The Computer Engineer shall comply with all provisions of the Ivorian Law No. 2013-450 of 19 June 2013 relating to the protection of personal data. All sensitive information, client data, and proprietary systems encountered during the engagement in Ivory Coast Abidjan shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from the Buyer.

3.6 Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of material breach by the Computer Engineer, the Buyer reserves the right to terminate immediately upon written notice. Upon termination, the Supplier shall deliver all completed and in-progress work to the Buyer within fourteen (14) days.

3.7 Insurance and Liability: The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of 50,000,000 XOF, valid throughout the duration of this Purchase Order and specifically covering operations conducted in Ivory Coast Abidjan. The Supplier shall indemnify and hold harmless the Buyer against any claims, losses, or damages arising from the negligent performance of the Computer Engineer.

3.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, or pandemics affecting operations in Abidjan, Ivory Coast.
