2. Description of Procurement

This Purchase Order is issued by Tokyo Digital Infrastructure Co., Ltd. (hereinafter referred to as the "Buyer") to Global Engineering Solutions Inc. (hereinafter referred to as the "Seller") for the procurement of specialized professional services rendered by a qualified Computer Engineer. The scope of this engagement is to provide full-time technical expertise, system architecture design, software development oversight, and infrastructure management for the Buyer's flagship digital transformation project located in Japan Tokyo.

The Computer Engineer engaged under this Purchase Order shall be responsible for designing, implementing, and maintaining high-performance computing systems, cloud infrastructure, and enterprise software solutions. All work shall be conducted primarily at the Buyer's headquarters in Shibuya, Tokyo, with occasional travel to secondary offices within the greater Japan Tokyo metropolitan area, including Shinjuku and Chiyoda districts.

4. Terms and Conditions

Acceptance: This Purchase Order shall become binding upon written acceptance by the Seller within five (5) business days of the date of issue. The Seller's acceptance confirms their commitment to provide the Computer Engineer services as specified herein.
Performance Period: The Computer Engineer shall commence duties on July 1, 2025, and the engagement shall conclude on December 31, 2025, unless extended by mutual written agreement. All work shall be performed in Japan Tokyo, with a standard work schedule of Monday through Friday, 09:00 to 18:00 JST.
Payment Terms: Payment shall be made in monthly installments within thirty (30) days of invoice submission. The first installment of ¥6,600,000 (inclusive of tax) shall be due upon project commencement. All payments shall be made via bank transfer to the Seller's designated account in Japan.
Qualifications: The Computer Engineer assigned to this Purchase Order must hold a minimum of eight (8) years of professional experience in systems engineering, possess a bachelor's degree or higher in Computer Science or a related field, and demonstrate proficiency in Japanese (JLPT N2 or above) to effectively communicate with the local team in Japan Tokyo.
Confidentiality: The Computer Engineer shall be bound by a strict Non-Disclosure Agreement (NDA) covering all proprietary information, source code, system designs, and business strategies of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
Intellectual Property: All work product, designs, code, and documentation created by the Computer Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of Tokyo Digital Infrastructure Co., Ltd. The Seller grants no license or right to reuse such materials for other clients.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Seller for all services rendered up to the effective date of termination, plus any non-cancellable expenses incurred in Japan Tokyo.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this agreement shall be resolved through arbitration in Tokyo, Japan, in accordance with the rules of the Japan Commercial Arbitration Association (JCAA).
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters (earthquakes, typhoons), government mandates, or pandemics affecting operations in Japan Tokyo.
Compliance: The Seller warrants that the Computer Engineer shall comply with all applicable Japanese labor laws, immigration regulations (if applicable), data protection statutes (APPI), and industry standards relevant to the project scope.
