- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both parties. All services described herein shall be performed by a certified Computer Engineer holding a minimum of a Bachelor's degree in Computer Engineering or a related discipline, with at least five (5) years of progressive professional experience in enterprise IT infrastructure.
- The Computer Engineer shall report directly to the Buyer's Chief Technology Officer and shall be physically present at the designated Kenya Nairobi site during all contracted working hours. Remote work is not permitted except with prior written approval from the Buyer.
- Payment shall be made in monthly installments of KES 1,484,800 (inclusive of VAT) within thirty (30) calendar days of receipt of a valid tax invoice from the Seller. Payment shall be made via bank transfer to the Seller's designated account in a Kenyan commercial bank.
- The Seller warrants that the Computer Engineer assigned to this Purchase Order shall be fully insured, including professional indemnity insurance of not less than KES 10,000,000, and shall comply with all applicable Kenyan labour laws, the Occupational Safety and Health Act (OSHA) 2007, and data protection regulations under the Data Protection Act, 2019.
- Any change in scope, additional services, or modification to the deliverables outlined in this Purchase Order shall require a written Change Order signed by both parties. No verbal instructions shall be binding.
- The Computer Engineer shall maintain strict confidentiality regarding all proprietary information, system credentials, architectural plans, and business data encountered during the course of engagement in Kenya Nairobi. A separate Non-Disclosure Agreement (NDA) shall be executed prior to commencement.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall pay for all services rendered up to the termination date. In the event of termination for material breach, the non-breaching party shall be entitled to damages as determined under Kenyan law.
- All disputes arising from this Purchase Order shall be resolved through mediation in Kenya Nairobi in accordance with the Arbitration Act, 1995 of Kenya. The courts of Kenya Nairobi shall have exclusive jurisdiction.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Kenya.
The Computer Engineer shall commence duties on or before 1 August 2025 at the Buyer's facility in Kenya Nairobi. The Seller shall provide the Buyer with the Computer Engineer's full curriculum vitae, professional certifications, and references no later than 14 days prior to the commencement date. The Buyer reserves the right to interview the proposed Computer Engineer before final approval.
