All services under this Purchase Order shall be delivered and performed at the primary facility of Gulf Digital Infrastructure Solutions W.L.L., situated at Al Hamra Tower, 14th Floor, Kuwait Kuwait City, Kuwait. The Computer Engineer assigned to this engagement is expected to be physically present at the Kuwait Kuwait City premises for a minimum of five (5) working days per week during the active implementation phase. Remote support may be provided for the maintenance retainer component, subject to prior written approval from the Procurement Director. All deliverables, including system designs, configuration files, and technical documentation, must be submitted to the project office in Kuwait Kuwait City no later than the deadlines specified in the project milestone schedule.

• Payment shall be made in Kuwaiti Dinars (KWD) via bank transfer to the supplier's designated account.
• 30% advance payment upon acceptance of this Purchase Order by both parties.
• 40% upon completion and acceptance of the Computer Engineer's system architecture design and initial deployment at the Kuwait Kuwait City data center.
• 30% upon final project completion, successful cybersecurity audit, and delivery of all documentation.
• Monthly retainer payments for ongoing support shall be due on the 5th business day of each month.
• All invoices must reference this Purchase Order number (KWT-CE-2025-04782) for processing.

• This Purchase Order is governed by the laws of the State of Kuwait and the Kuwait Commercial Code.
• The Computer Engineer shall comply with all applicable regulations of the Kuwait Information and e-Authority (KIA) and the Kuwait Data Protection Law.
• The supplier warrants that the Computer Engineer assigned holds a minimum of a Bachelor's degree in Computer Engineering or a related field, with no fewer than eight (8) years of relevant professional experience in enterprise infrastructure.
• Any modification to the scope, timeline, or pricing of this Purchase Order must be documented in a formal amendment signed by authorized representatives of both parties.
• The Computer Engineer shall maintain strict confidentiality regarding all proprietary systems, data, and business processes encountered during the engagement in Kuwait Kuwait City.
• Disputes arising from this Purchase Order shall be resolved through arbitration in Kuwait Kuwait City in accordance with the rules of the Kuwait Disputes Resolution Center.
• This Purchase Order is valid for a period of ninety (90) days from the date of issue, after which it shall be considered void unless renewed in writing.
