1. This Purchase Order constitutes a binding procurement document governed by the Peruvian Civil Code and the General Contracting Law (Ley Nº 30225) applicable to the Peru Lima jurisdiction.
2. The Computer Engineer engaged under this Purchase Order must hold a valid professional degree from a Peruvian university accredited by SUNEDU and must possess a minimum of five (5) years of post-graduate experience in enterprise IT systems.
3. All services shall be performed primarily at the Purchasing Entity's headquarters located in San Isidro, Peru Lima, with the possibility of remote work not exceeding two (2) days per week as mutually agreed.
4. The Computer Engineer shall comply with all occupational health and safety regulations established by the Ministry of Labor of Peru for work performed in the Peru Lima metropolitan area.
5. Payment shall be processed via bank transfer to the account designated by TechPro Engineering Consultants E.I.R.L. within thirty (30) calendar days from the date of invoice issuance, in accordance with the terms stated in this Purchase Order.
6. Any modification to the scope, duration, or pricing outlined in this Purchase Order must be documented in a formal written addendum signed by both parties and registered with the relevant Peru Lima municipal authority if applicable.
7. The Computer Engineer shall maintain strict confidentiality regarding all proprietary data, source code, network credentials, and business strategies of Andes Digital Solutions S.A.C. as defined in the attached Non-Disclosure Agreement (NDA-2025-0112).
8. Termination of this Purchase Order may be executed by either party with a thirty (30) day written notice. In the event of termination, all deliverables and work-in-progress related to the Computer Engineer's assignment in Peru Lima shall be transferred to the Purchasing Entity within fifteen (15) business days.
9. Disputes arising from this Purchase Order shall be resolved through binding arbitration in Peru Lima, in accordance with the rules of the Arbitration Center of the Lima Chamber of Commerce (CCIL).
10. This Purchase Order is valid for a period of thirty (30) days from the date of issue. Failure to accept and confirm within this period shall render this document null and void.
