This Purchase Order is issued by Valencia Tech Solutions S.L. to formally engage the services of a qualified Computer Engineer for the design, implementation, and maintenance of critical IT infrastructure systems. The Computer Engineer shall provide specialized technical expertise in hardware architecture, network systems design, embedded systems development, and enterprise software integration. All professional services under this Purchase Order shall be rendered at the primary operational site located in Spain Valencia, specifically at the company's headquarters and associated data centre facilities within the Valencia metropolitan area.
The Computer Engineer is expected to hold a recognized degree in Computer Engineering (Ingeniería Informática) from an accredited Spanish or European university, possess a minimum of eight (8) years of professional experience in enterprise IT environments, and demonstrate proficiency in both hardware and software system design. The Computer Engineer shall comply with all applicable Spanish labour regulations, data protection laws (GDPR as transposed into Spanish law), and professional engineering standards established by the Colegio Oficial de Ingenieros Informáticos de Valencia.

Payment for services rendered under this Purchase Order shall be made in monthly instalments via direct bank transfer (SEPA) to the account designated by the Computer Engineer. Invoices shall be submitted on the last working day of each calendar month. Payment terms are net thirty (30) days from the date of invoice receipt. A late payment penalty of 1.5% per month shall apply in accordance with Spanish Royal Decree-Law 4/2013 on measures to combat late payment in commercial transactions. All amounts are exclusive of applicable Spanish Value Added Tax (IVA), which shall be added at the prevailing rate of 21%.
5. TERMS AND CONDITIONS- This Purchase Order constitutes a binding agreement between the parties upon signature by both the Buyer and the Computer Engineer. All terms herein shall be governed by and construed in accordance with the laws of Spain, with exclusive jurisdiction vested in the courts of Valencia, Spain.
- The Computer Engineer shall perform all duties with the diligence and professional competence expected of a qualified engineering professional registered with the relevant Spanish professional college. All work shall be carried out at the designated site in Spain Valencia unless otherwise agreed in writing.
- The Computer Engineer shall maintain full professional indemnity insurance with a minimum coverage of EUR 500,000 for the duration of the engagement. Proof of insurance shall be provided prior to commencement of work.
- All intellectual property, technical documentation, source code, and design specifications produced under this Purchase Order shall become the exclusive property of Valencia Tech Solutions S.L. upon full payment of the contract value.
- The Computer Engineer shall comply with all health and safety regulations applicable to the Spain Valencia workplace, including but not limited to the Spanish Occupational Risk Prevention Law (Ley 31/1995).
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Computer Engineer shall be compensated for all services rendered up to the effective date of termination.
- Confidentiality obligations shall survive the termination of this Purchase Order for a period of five (5) years. The Computer Engineer shall not disclose any proprietary information, trade secrets, or technical data pertaining to the Buyer's operations in Spain Valencia to any third party.
- Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the Spain Valencia region, shall suspend obligations under this Purchase Order without penalty to either party.
Services under this Purchase Order shall commence on 1 July 2025 and are expected to be completed by 30 November 2025, subject to the post-implementation support period extending to 28 February 2026. The Computer Engineer shall report to the Project Director at the Spain Valencia headquarters on each working day during active implementation phases. A weekly progress report shall be submitted every Friday to the procurement department.
