Terms and Conditions
- This Purchase Order constitutes a binding agreement between Anadolu Digital Infrastructure A.S. (hereinafter "Buyer") and Marmara Engineering Solutions Ltd. (hereinafter "Vendor") for the provision of Computer Engineer professional services to be performed primarily at the Buyer's facilities located in Turkey Ankara.
- All Computer Engineer personnel assigned under this Purchase Order must hold valid professional certifications recognized by the Turkish Ministry of Industry and Technology and must possess a minimum of five (5) years of relevant experience in systems engineering, network architecture, or embedded computing.
- The Vendor shall ensure that all Computer Engineer staff comply with local labor regulations applicable in Turkey Ankara, including but not limited to working hour restrictions, social security contributions (SGK), and occupational health and safety standards mandated by the Turkish Labor Code (Law No. 4857).
- Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by the Turkish Commercial Code (Türk Ticaret Kanunu) for commercial transactions.
- The Vendor warrants that all deliverables produced by the Computer Engineer team shall be free from intellectual property infringement and shall be delivered in accordance with the specifications outlined in the attached Statement of Work (SOW-2025-ANK-0472).
- Any changes to the scope of Computer Engineer services, including additional personnel, extended timelines, or modified deliverables, must be documented in a formal change order signed by both parties prior to execution.
- The Vendor shall maintain comprehensive professional liability insurance with a minimum coverage of 500,000 TRY for the duration of this Purchase Order, valid throughout the Turkey Ankara metropolitan area.
- Confidentiality obligations shall survive the termination of this Purchase Order for a period of three (3) years. All proprietary data, system credentials, and architectural documentation related to the Buyer's Turkey Ankara operations shall be treated as strictly confidential.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the commercial courts in Ankara, Turkey.
- The Vendor is responsible for obtaining all necessary work permits, site access clearances, and security badges for the Computer Engineer team to operate within the Buyer's secured premises in Turkey Ankara.
