This Purchase Order is issued by Kampala Digital Infrastructure Solutions Ltd. to procure the professional services of a qualified Computer Engineer to be deployed and engaged at the buyer's operational facilities located in Uganda Kampala. - Scope of Work: The Computer Engineer engaged under this Purchase Order shall perform all duties in accordance with the professional standards set by the Uganda Engineering and Technology Institute (UETI) and shall report directly to the buyer's Chief Information Officer at the Uganda Kampala headquarters.
- Commencement and Duration: Services shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, subject to renewal by mutual written agreement. The Computer Engineer must be physically present at the Uganda Kampala office no later than the first business day of the contract period.
- Payment Schedule: Payment shall be made in monthly instalments within thirty (30) days of receipt of a valid invoice from the service provider. The first payment shall be due upon successful onboarding and verification of the Computer Engineer's credentials and professional registration in Uganda.
- Qualifications and Compliance: The Computer Engineer must hold a minimum of a Bachelor's degree in Computer Engineering or a related field from a recognized institution, possess a valid professional registration with the Uganda Engineering and Technology Institute, and demonstrate a minimum of eight (8) years of progressive experience in enterprise IT environments.
- Confidentiality: The Computer Engineer shall be bound by a strict non-disclosure agreement covering all proprietary information, client data, and system architectures encountered during the engagement in Uganda Kampala. Breach of confidentiality shall result in immediate termination and legal action under the Uganda Data Protection and Privacy Act, 2019.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Computer Engineer, the buyer reserves the right to terminate immediately without penalty. All work in progress at the time of termination shall be delivered and compensated pro-rata.
- Governing Law: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising shall be resolved through arbitration in Uganda Kampala in accordance with the Arbitration Act, 2000 of Uganda.
- Insurance and Indemnity: The service provider shall maintain comprehensive professional indemnity insurance with a minimum coverage of UGX 500,000,000 for the duration of the engagement. The Computer Engineer shall be covered under the provider's employer's liability insurance as required by the Uganda Labour Act, 2003.
- Intellectual Property: All work products, designs, code, documentation, and deliverables created by the Computer Engineer during the course of this engagement in Uganda Kampala shall be the sole property of the buyer, unless otherwise agreed in writing.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Uganda Kampala.
The Computer Engineer shall report to the buyer's premises at Plot 14, Kampala Road, Uganda Kampala, on the agreed commencement date. Acceptance of services shall be confirmed in writing by the buyer's Procurement Manager within five (5) business days of the Computer Engineer's first day of engagement. This Purchase Order constitutes a binding commitment upon signature by both parties.
