Scope of Work — Computer Engineer ServicesThis Purchase Order is issued by GulfTech Infrastructure Solutions LLC for the procurement of professional Computer Engineer services to be rendered in United Arab Emirates Dubai. The selected Computer Engineer shall be responsible for the design, implementation, testing, and maintenance of critical IT infrastructure systems as part of the Smart City IT Infrastructure Upgrade project. The Computer Engineer must hold a minimum of a Bachelor's degree in Computer Engineering, Computer Science, or a related discipline, and possess a minimum of eight (8) years of progressive experience in enterprise-level systems architecture, network engineering, and embedded systems development. The Computer Engineer shall be physically present at the project site in Dubai, United Arab Emirates, for a minimum of five (5) working days per week, adhering to the standard UAE working hours of Sunday through Thursday, 8:00 AM to 5:00 PM (GST).

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the specific commercial regulations applicable in Dubai, United Arab Emirates. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Dubai Courts or, at the Buyer's discretion, the Dubai International Financial Centre (DIFC) Courts.
2. Compliance: The Computer Engineer engaged under this Purchase Order must comply with all applicable UAE federal and Dubai municipal regulations, including but not limited to the UAE Labour Law (Federal Decree-Law No. 33 of 2021), the UAE Data Protection Law, and the Dubai Smart City regulatory framework. The Computer Engineer must hold a valid UAE residence visa and work permit for the duration of the contract.
3. Intellectual Property: All work product, designs, code, documentation, and deliverables created by the Computer Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of GulfTech Infrastructure Solutions LLC. The Computer Engineer hereby assigns all intellectual property rights to the Buyer upon creation.
4. Confidentiality: The Computer Engineer shall maintain strict confidentiality regarding all proprietary information, system architectures, network topologies, and business data encountered during the engagement in United Arab Emirates Dubai. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
5. Payment Schedule: Payment shall be made in monthly installments corresponding to the monthly retainer (Item 01), with lump-sum items (Items 02, 03, and 05) payable upon completion and written acceptance by the Buyer's project manager. All invoices must reference this Purchase Order number (UAE-DXB-CE-2025-04782) and include valid UAE VAT documentation.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Computer Engineer or the Service Provider, the Buyer may terminate immediately upon written notice. Upon termination, the Computer Engineer shall complete all in-progress deliverables and hand over all project materials within fourteen (14) days.
7. Insurance and Indemnification: The Service Provider shall maintain comprehensive professional liability insurance with a minimum coverage of AED 2,000,000, valid in the United Arab Emirates Dubai jurisdiction, for the entire duration of this Purchase Order.
8. Anti-Corruption: Both parties warrant compliance with the UAE Anti-Corruption Law and the Dubai Anti-Corruption Bureau regulations. Any violation shall constitute grounds for immediate termination of this Purchase Order and potential legal action.
Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Computer Engineer in United Arab Emirates Dubai. This document constitutes a binding commercial agreement upon execution by both authorized signatories.
